Pengalihan seturuh saham PT Duta Dharma
Sinarmas (“DDSW”) yang dimiliki oleh PT Sentra
Talenta Utama, Entitas Anak Perseroan
sebanyak 112.310.160 (seratus dua belas tiga
ratus sepuluh seratus enam putuh) saham
(selanjutnya disebut “Transaksi”) dengan nilai
Transaksi sebesar Rp72.500.000.000,- (tujuh
puluh dua miliar lima ratus juta Rupiah)
(selanjutnya disebut “Nilai Transaksi”).

Uraian Informasi
Pada tanggal 27 Mei 2025, telah ditandatangani
Akta Jual Beli sehubungan dengan Transaksi
dengan rincian sebagai berikut:
1. Para Pihak yang bertransaksi adalah:
a.Perseroan melalui Entitas Anak PT Sentra
Talenta Utama sebagai Penjual:
b.PT Duta Dharma Sulut sebagai Pembeli,
PT Duta Dharma Sulut adalah perseroan
terbatas yang didirikan berdasarkan hukum
Negara Repubtik Indonesia dan
berkedudukan Kota Manado, and
c. Bapak Jimmy Widjaja sebagai Pembeli.

2. Hubungan ffiliasi:
Perseroan, PT Duta Dharma Sulut dan Bapak
Jimmy Widjaja tidak memiliki hubungan
afiliasi di antara Para Pihak sebagaimana
yang diatur dalam POJK 42.

Transaksi

Dengan dilakukannya Transaksi ini merupakan
langkah strategis untuk memperkuat portofolio
bisnis Perseroan jangka panjang. Keputusan ini
mempertimbangkan aspek fundamental DDSM,
dan kontribusi masa depan. Lebih lanjut,
pentingnya efisiensi manajemen aset dan
realokasi sumber daya untuk pertumbuhan yang
lebih berkelanjutan.

proyek yang memberikan potensi keuntungan

Type of information

The transfer of all shares of PT Duta Dharma
Sinarmas (“DDSM”) owned by PT Sentra Talenta
Utama, a subsidiary of the Company, a total of
112,310,160 (one hundred twelve million three
hundred ten thousand one hundred sixty) shares
(hereinafter referred io as the “Transaction”). The
value of this Transaction is IDR72,500,000,000
(seventy-two billion five hundred million Rupiah)
(hereinafter referred to as “the Value of the
Transaction”).

Description of Information
On May 27", 2025, a Deed of Sale and Purchase
(AJB) was signed in connection with the
Transaction with the following details:
1. The parties to the transaction are:
a. The Company through its Subsidiary, PT
Sentra Talenta Utama as the Seller,
b. PT Duta Dharma Sulutas the Buyer,
PT Duta Dharma Sulut is a limited liability
company established under the laws of
the Republic of Indonesia and domiciled
in Manado City, and
Cc. Mr. Jimmy Widjaja as the Buyer.

2. Affiliated Relations:
There are no affiliated relations as defined in
POIK 42 between the Parties: the Company,
PT Duta Dharma Sulut and Mr. Jimmy Widjaja.

Consideration and Reason for Conducting the
Transaction.

By executing this Transaction represents a
strategic initiative to enhance the long-term
Company's business portfolio. This decision
considers the fundamental aspects of DDSM, as
well as its potential future contributions.
Additionally, it emphasizes the importance of
asset management efficiency and the reallocation
Of resources, aimed at fostering sustainable
growth.

The proceeds from the Transaction will be
allocated to the projects that provide higher long-
term profit potential compared to maintain the
DDSM

Keterangan lain-lain

Direksi dan Dewan Komisaris Perseroan juga
menyatakan bahwa Nilai Transaksi bukan
merupakan transaksi material sebagaimana
dimaksud dalam POJK 17, karena nilai Transaksi
tidak lebih dari 2096 (dua puluh persen) dari nilai
Ekuitas Perseroan berdasarkan Audit Laporan
Keuangan Konsolidasian per 31 Desember 2024.

Other information

The Companys Directors and Board of
Commissioners have affirmed that Value of the
Transaction does not constitute a material
transaction as defined in POJK 17. This
determnination is since the Value of the Transaction
does not exceed 2046 (twenty percent) of the
Company's eguity, as reflected in the Audited
Consolidated Financial Statements December
31", 2025.
