Merujuk kepada Peraturan Otoritas Jasa Keuangan (“OJK”) No. 31/POJK.04/2015 tentang
Keterbukaan atas Informasi atau Fakta Material oleh Emiten atau Perusahaan Publik sebagaimana
diubah sebagian dengan Peraturan OJK No. 45 Tahun 2024 tentang Pengembangan dan
Penguatan Emiten dan Perusahaan Publik, Peraturan BEI No. I-E, Lampiran Surat Keputusan
Direksi BEI No. Kep-00066/BEI/09-2022 tentang Kewajiban Penyampaian Informasi, dan
Peraturan OJK No. 17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha
(“POJK 17/2020”), bersama ini kami sampaikan informasi mengenai transaksi material sebagai

by OJK Regulation No. 45 of 2024 on Development and Strengthening of Issuers and Public
Companies, IDX Regulation No. I-E, Annex to the Decree of the Board of Directors of IDX No. Kep-
00066/BEI/09-2022 concerning the Obligation to Submit Information and OJK Regulation No.
17/POJK.04/2020 on Material Transaction and Change of Business Activities (“POJK 17/2020”),
we hereby inform you the material transaction as follows:

an increase in the Company’s financial liabilities.
3. Uraian Informasi atau Fakta Pada tanggal 26 Mei 2025, Perseroan telah
Material / Description of Material menandatangani perjanjian kredit sebagaimana
Information or Facts diuraikan di bawah ini (“Transaksi”). Transaksi
merupakan transaksi material berdasarkan POJK
17/2020, mengingat objek Transaksi adalah
pinjaman yang diterima oleh Perseroan dengan
nilai yang melebihi 20% dari ekuitas Perseroan
berdasarkan Laporan Keuangan Konsolidasian
Perseroan per tanggal 31 Desember 2024 yang
diaudit oleh Purwantono, Sungkoro & Surja, selaku
auditor independen yang melakukan audit
terhadap laporan keuangan Perseroan.
Namun demikian, mengingat Transaksi
merupakan pinjaman yang diperoleh Perseroan
dari bank, maka berdasarkan ketentuan Pasal 6
dan Pasal 11 POJK 17/2020, Perseroan tidak
wajib menggunakan penilai dan Perseroan hanya
diwajibkan untuk mengumumkan keterbukaan
informasi kepada masyarakat dan melaporkan
kepada OJK, paling lambat 2 hari kerja setelah
tanggal Transaksi.
Adapun uraian atas Transaksi adalah sebagai
berikut:
a. Objek Transaksi
Perjanjian Kredit dengan PT Bank Rakyat
Indonesia (Persero) Tbk (“Bank BRI”) pada
tanggal 26 Mei 2025 (“Perjanjian Kredit
Term Loan”).
b. Nilai Transaksi
Nilai pinjaman yang akan diterima Perseroan
berdasarkan Perjanjian Kredit Term Loan
adalah dengan plafond maksimal sebesar
Rp8.000.000.000.000,- (delapan triliun
Rupiah).
c. Pihak yang Melakukan Transaksi
Pihak dalam Transaksi adalah Bank BRI
sebagai kreditur dan Perseroan sebagai
debitur.

d. Jangka Waktu Transaksi
Jangka waktu Perjanjian Kredit Term Loan
ditetapkan 120 (seratus dua puluh) bulan
sejak penandatanganan Perjanjian Kredit
Term Loan.
e. Penjelasan, Pertimbangan dan Alasan
Dilakukannya Transaksi Material:
Transaksi dilaksanakan sebagai bagian dari
strategi pendanaan jangka menengah hingga
panjang Perseroan dan/atau grup Perseroan.
f. Pernyataan Dewan Komisaris dan Direksi
Perseroan
Dewan Komisaris dan Direksi Perseroan
menyatakan bahwa:
(i) Transaksi merupakan transaksi material
berdasarkan POJK 17/2020, namun
bukan merupakan Transaksi Afiliasi dan
Transaksi Benturan Kepentingan
sebagaimana dimaksud dalam
Peraturan Otoritas Jasa Keuangan No.
42/POJK.04/2020 tentang Transaksi
Afiliasi dan Transaksi Benturan
Kepentingan; dan
(ii) semua informasi material telah
diungkapkan dan informasi tersebut
tidak menyesatkan.
On 26 May 2025, the Company entered into a
credit agreement as further described below (the
“Transaction”). The Transaction constitutes a
material transaction under POJK 17/2020, as the
object of the Transaction is a loan obtained by the
Company with a value exceeding 20% of the
Company’s equity based on the Company’s
Consolidated Financial Statements as of 31
December 2024, audited by Purwantono,
Sungkoro & Surja as the independent auditor
appointed to examine the Company’s financial
statements.
However, considering that the Transaction
involves a loan obtained by the Company from a
bank, pursuant to Articles 6 and 11 of POJK
17/2020, the Company is not required to appoint
an appraiser and is only required to disclose the
information to the public and report it to the OJK,

no later than 2 business days following the date of
the Transaction.
The details of the Transaction are as follows:
a. Object of the Transaction
Credit Agreement with PT Bank Rakyat
Indonesia (Persero) Tbk (“Bank BRI”) dated
26 May 2025 (“Term Loan Credit
Agreement”).
b. Transaction Value
The loan amounts to be received by the
Company based on theTerm Loan Credit
Agreement is a maximum plafond of IDR
8,000,000,000,000 (eight trillion Rupiah).
c. Parties to the Transaction
The parties to the Transaction are Bank BRI
as the creditor and the Company as the
debtor.
d. Term of the Transaction
The term of the Term Loan Credit Agreement
is valid for 120 (one hundred twenty) months
from the date of execution.
e. Explanation, Considerations, and
Reasons for Entering into the Material
Transaction
The Transaction is carried out as part of the
Company’s and/or its group’s medium to
long-term funding strategy.
f. Statement of the Board of Commissioners
and the Board of Directors
The Board of Commissioners and the Board
of Directors of the Company state that:
(i) The transaction constitutes a material
transaction pursuant to POJK 17/2020,
but does not constitute an Affiliated
Transaction nor a Conflict of Interest
Transaction as referred to under
Financial Services Authority Regulation
No. 42/POJK.04/2020 on Affiliated
Transactions and Conflict of Interest
Transactions; and

disclosed and such information is not
misleading.
4. Dampak kejadian, informasi atau Dampak dari dilaksanakannya Transaksi adalah
