Uraian Informasi atau Fakta Material/ Description of The Information or Material Facts 6 Juli/ July 2026 Transaksi Material atas Akta Perjanjian Kredit No. 12 tanggal 6 Juli 2026 yang dibuat di hadapan Notaris Ester Septarini, SH, MH, MKn, Notaris di Jakarta Barat antara PT Kedoya Adyaraya Tbk (“Perseroan”) beserta anak perusahaan PT Sinar Medika Sejahtera dengan PT Bank CIMB Niaga Tbk dan PT Bank OCBC NISP Tbk. Material Transaction in Relation to the Deed Loan Agreement No. 12 dated 6 July 2026 made before Notary Ester Septarini, SH, MH, Mkn, Notary in West Jakarta among PT Kedoya Adyaraya Tbk and its subsidiary PT Sinar Medika Sejahtera, and PT Bank CIMB Niaga Tbk and PT Bank OCBC NISP Tbk. Perseroan bersama-sama dengan/ The Company, together with: 1. PT Sarana Meditama Metropolitan Tbk (“SAME”): PT Sarana Meditama International (“SMI”): PT Sarana Meditama Anugerah (“SMA”): PT Kurnia Sejahtera Utama (“KSU”), PT Unggul Pratama Medika (“UNPM”), PT Utama Pratama Medika (“UTPM”), dan/and 7. PT Sinar Medika Sejahtera (“SMS”). DAN Perseroan, SMI, SMA, KSU, UNPM, UTPM, dan SMS secara bersama-sama disebut sebagai Co-Borower, dan bersama dengan SAME disebut sebagai (“Para Debitur”), telah memperoleh Fasilitas Kredit dari PT Bank CIMB Niaga Tbk dan PT Bank OCBC NISP Tbk (“Kreditur”) senilai Rp4.000.000.000.000,- (empat triliun Rupiah). Perseroan akan menggunakan fasilitas kredit tersebut untuk keperluan Investasi/ Belanja Modal dan/atau Modal Kerja.

Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik./ The impact of the incident, information or material fact on the operational activities, law, financial condition, or business continuity of the Issuer or Public Company. a. Kelangsungan Usaha/ Business Continuity Keterangan lain-lain/ Other Information The Company, SMI, SMA, KSU, UNPM, UTPM, and SMS are hereinafter collectively referred to as the (the "Co-Borrowers"), and together with SAME, the (the "Borrowers"), have obtained credit facilities from PT Bank CIMB Niaga Tbk and PT Bank OCBC NISP Tbk (the "Lenders") in the aggregate principal amount of Rp4,000,000,000,000 (four trillion Rupiah). The Company plans to utilize the credit facility for Investment/ Capital Expenditure and/or Working Capital purposes. Tidak terdapat dampak yang material yang merugikan terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan operasional Perseroan. There is no material adverse impact on the operational activities, legal, financial condition, or business continuity of the Company. Pemenuhan kewajiban Perseroan berdasarkan Perjanjian Kredit. Fulfillment of the Company's obligations under the Credit Agreement. Tidak terdapat dampak negatif pada kondisi keuangan Perseroan. The Transaction does not have any adverse impact on the Company's financial condition. Tidak terdapat dampak negatif pada kelangsungan usaha Perseroan. There is no adverse impact on the continuity of the Company's business. Merujuk kepada ketentuan Pasal 11 huruf (b) dan (c) POJK No. 17/2020, Transaksi ini merupakan transaksi material yang dikecualikan dari kewajiban untuk terlebih dahulu memperoleh penilaian independen dan memperoleh persetujuan RUPS. Pursuant to Article 11(b) and (c) of OJK Regulation No. 17/POJK.04/2020, the Transaction gualifies as an exempt material transaction and, accordingly, is not subject to the reguirement to obtain an independent appraisal or prior approval from the General Meeting of Shareholders (GMS). w
