Uraian Informasi atau Fakta Material PT Geoprima Solusi Tbk telah menyelesaikan pelaksanaan
Penambahan Modal Tanpa Hak Memesan Efek Terlebih
Dahulu (PMTHMETD) sebagaimana telah memperoleh
persetujuan dalam Rapat Umum Pemegang Saham Luar
Biasa (RUPSLB) pada tanggal 22 Juni 2026 serta telah
diumumkan melalui Keterbukaan Informasi tanggal 18 Juni
2026 beserta perubahan dan/atau tambahannya, serta
Pemberitahuan PMTHMETD tanggal 30 Juni 2026.
Dampak kejadian, informasi atau fakta Dalam pelaksanaan PMTHMETD tersebut, Perseroan
material tersebut terhadap kegiatan menerbitkan sebanyak 66.674.000 saham baru dengan nilai
operasional, hukum, kondisi keuangan, nominal Rp50,- per saham dan harga pelaksanaan Rp427,-
atau kelangsungan usaha Emiten atau per saham, sehingga Perseroan memperoleh tambahan modal
Perusahaan Publik disetor sebesar Rp28.469.798.000,-. Seluruh saham baru
yang diterbitkan diambil bagian oleh PT PIMSF Pulogadung
selaku Pemegang Saham Pengendali Perseroan.
Dengan terlaksananya PMTHMETD tersebut, jumlah saham
yang ditempatkan dan disetor penuh dalam Perseroan
meningkat dari 666.741.103 saham menjadi 733.415.103
saham. Dana hasil PMTHMETD akan digunakan sesuai
dengan tujuan penggunaan dana sebagaimana telah
diungkapkan dalam Keterbukaan Informasi Perseroan.

Announcement of the Results of the Capital Increase Without
Type of Material Information or Facts Pre-emptive Rights (PMTHMETD)
Description of Material Information or PT Geoprima Solusi Tbk has completed the implementation of
Facts the Capital Increase Without Pre-emptive Rights
(PMTHMETD), which was approved at the Extraordinary
General Meeting of Shareholders (EGMS) held on 22 June
2026, and has been disclosed through the Information
Disclosure dated 18 June 2026, including its amendments
and/or supplements, as well as the PMTHMETD Notification
dated 30 June 2026.
Impact of event, material information or In the implementation of the PMTHMETD, the Company
facts towards Issuers or Public issued 66,674,000 new shares with a nominal value of Rp50
Company’s operational activities, legal, per share at an exercise price of Rp427 per share, resulting in
financial condition, or going concern an additional paid-up capital of Rp28,469,798,000. All of the
newly issued shares were subscribed by PT PIMSF
Pulogadung as the Company's Controlling Shareholder.
Following the completion of the PMTHMETD, the number of
the Company's issued and fully paid shares increased from
666,741,103 shares to 733,415,103 shares. The proceeds
from the PMTHMETD will be utilized in accordance with the
intended use of funds as disclosed in the Company's
Information Disclosure
