(021) 2905 3000 Keterbukaan atas Informasi atau Fakta Material ini dibuat dengan merujuk pada Keterbukaan atas Informasi atau Fakta Material Perseroan tanggal 6 Mei 2025 (“Keterbukaan Informasi Awal”) sehubungan dengan penawaran untuk membeli sebagian secara tunai (“Penawaran Tender”) Surat Utang Senior Tanpa Jaminan (Senior Unsecured Notes) dengan kupon 4,8754 yang akan jatuh tempo pada tahun 2028 (“Surat Utang”) yang diterbitkan oleh Perseroan dan ditanggung anak perusahaan tertentu dari Perseroan yakni PT Artisan Wahyu, PT Elite Prima Hutama, PT Dwijaya Manunggal, PT Grama Pramesi Siddhi, PT Pakuwon Permai, PT Pakuwon Sentosa Abadi, dan PT Permata Berlian Realty. This Disclosure of Material Information or Facts is made by reference to the Companys Disclosure of Material Information or Facts dated 6 May 2025 (“Initial Information Disclosure”) in relation to the invitation offering to purchase in cash (the “Tender Offer) part of the 4.8754 Senior Unsecured Notes due 2028 (the “Notes”) issued by the Company and guaranteed by certain subsidiaries of the Company, namely PT Artisan Wahyu, PT Elite Prima Hutama, PT Dwijaya Manunggal, PT Grama Pramesi Siddhi, PT Pakuwon Permai, PT Pakuwon Sentosa Abadi, and PT Permata Berlian Realty. Perseroan telah menyelesaikan Penawaran Tender pada 15 Mei 2025, pukul 16.00 waktu London dan menerbitkan pengumuman hasil Penawaran Tender pada 16 Mei 2025, pengumuman mana yang intinya menyatakan bahwa Perseroan akan menerima untuk membeli Surat Utang dengan jumlah utang pokok Surat Utang yang akan dibeli sebesar US$66.555.000. Sesuai dengan jadwal yang diungkapkan dalam Keterbukaan Informasi Awal, penyelesaian pembayaran atas Penawaran Tender diharapkan akan dilakukan pada 19 Mei 2025. Setelah penyelesaian pembayaran Penawaran Tender, jumlah utang pokok Surat Utang sebesar US$ 333 445 000 akan tetap terutang. In accordance with the schedule as disclosed in the Initial Information Disclosure, setilement of the payment for the Tender Offer is expected to be made on 19 May 2025. Following settlement of the payment for the Tender Offer, US$333,445,000 in aggregate principal amount of the Notes will remain outstanding. Penyelesaian Penawaran Tender akan berdampak positif pada neraca keuangan Perseroan dan tidak akan memberikan dampak negatif terhadap kegiatan operasional, hukum, kondisi keuangan atau kelangsungan usaha Perseroan. Settiement of the Tender Offer will have a positive impact on the Company's balance sheet and will not have any adverse effect on the Company's operations, legal position, financial condition or business continuity.
