Facts

Pada tanggal 14 Mei 2025, Perseroan dan SAT telah
menandatangani Akta Jual Beli Saham LWS Nomor 17
tanggal 14 Mei 2025 (AJB) di hadapan Sriwi Bawana
Nawaksari, S.H., M.Kn, Notaris di Kabupaten Tangerang
sehubungan dengan transaksi jual beli saham sebanyak
1.484.855.160 (satu miliar empat ratus delapan puluh
empat juta delapan ratus lima puluh lima ribu seratus
enam puluh) lembar saham atau mewakili 7096 (tujuh
puluh persen) dari saham yang ditempatkan dan disetor
oleh Perseroan pada LWS, kepada SAT, dengan harga
jual beli saham sebesar Rp135 (seratus tiga puluh lima
Rupiah) per lembar saham atau setara dengan nilai
transaksi sebesar Rp200.455.446.600 (dua ratus miliar
empat ratus lima puluh lima juta empat ratus empat
puluh enam ribu enam ratus Rupiah)./

On May 14, 2025, the Company and SAT signed the
Sale and Purchase Deed of Shares of LWS No. 17
dated May 14, 2025 (the “Deed”) of Sriwi Bawana
Nawaksari, S.H., M.Kn, Notary in Tangerang District in
relation to the sale and purchase transaction of
1,484,855,160 (one billion four hundred eighty-four
million eight hundred fifty-five thousand one hundred
sixty) shares, representing 7096 (seventy perceni) of the
issued and paid shares by the Company in LWS to SAT,
ata transaction price of Rp135 (one hundred thirty-five
Rupiah) per share, or eguralent to a transaction value
of Rp200, 455, 446,600 (two hundred billion four hundred
fifty-five million four hundred forty-six thousand six
hundred Rupiah)

Penandatanganan AJB ini merupakan pemenuhan
Persyaratan Pendahuluan yang diatur dalam Perjanjian
Jual Beli Saham Bersyarat yang telah Perseroan
sampaikan pada Keterbukaan Informasi tanggal 9 April
2025./ "

The signing of the Deed constitutes the fulfillment of the
Preliminary Condition as stipulated in the Conditional
Shares Sale and Purchase Agreement, which the
Company has conveyed in the Information Disclosure
dated April 9, 2025.

Sebagaimana telah diungkapkan dalam Keterbukaan
Informasi tanggal 9 April 2025, Transaksi ini merupakan
salah satu langkah strategis Perseroan, dimana
Perseroan berharap dengan dilakukannya Transaksi,
Perseroan dapat fokus pada portofolio bisnis Perseroan
di bidang perdagangan eceran dan dana yang diperoleh
dari Transaksi, dapat mendukung pendanaan
operasional dan belanja modal Perseroan dalam rangka
pengembangan kegiatan usaha Perseroan. Setelah
Transaksi menjadi efektif, Perseroan mengharapkan

dapat memperbaiki dan meningkatkan kinerja keuangan

Perseroan pada masa yang akan datang, baik dari sisi
laporan laba rugi maupun laporan arus kas, sehingga
diharapkan dapat memberikan nilai tambah bagi seluruh
pemegang saham Perseroan pada masa yang akan
datang./

As disclosed in the Disclosure Information dated Aprii 9,
2025, this Transaction is one of the Company's strategic
actions, whereby the Company expects through the
Transaction, the Company can focus on its business
portfolio in the retail sector and the funds obtained from
the Transaction can support the Company's operational
funding and capital expenditures in the development of
the Company's business activities. After the Transaction
becomes effective, the Company expects to improve
and enhance its financial performance in the future, both
from the income statement and the cash flow statement,
thus adding value for all of the Company's shareholders
in the future.

5 | Keterangan lain-lain/Other information | Sesuai dengan ketentuan Pasal 4 ayat 1 POJK 42/2020,
Transaksi ini merupakan transaksi yang wajib
menggunakan Penilai dalam menentukan nilai pasar
dari objek transaksi dan/atau kewajaran transaksi
tersebut. Dalam rangka memenuhi ketentuan POJK
42/2020 tersebut, Perseroan telah mengumumkan
Keterbukaan Informasi pada tanggal 9 April 2025./

In accordance with the provisions of Article 4, paragraph
1 of POJK 42/2020, this Transaction is a transaction
which is reguired to use an Appraiser to determine the
market value of the transaction object and/or the fairness
of the transaction. To comply -with the provisions of
POJK 42/2020, the Company has announced the
Information Disclosure on April 9, 2025.

Transaksi ini bukan merupakan transaksi benturan
kepentingan sehingga tidak memerlukan persetujuan
terlebih dahulu dari Rapat Umum Pemegang Saham
Perseroan sebagaimana diatur dalam POJK 42/2020
serta tidak termasuk transaksi material sebagaimana
diatur dalam POJK 17/2020, dimana jumlah transaksi
kurang dari 20” ekuitas Perseroan berdasarkan
Laporan Keuangan Konsolidasian Perseroan per
tanggal 31 Desember 2024 yang diaudit oleh Kantor
Akuntan Publik Purwantono, Sungkoro & Surja dengan
Laporan No. 00275/2.1032/AU.1/05/0704-5/1/11/2025
tertanggal 21 Maret 2025./

This Transaction is not a conflict of interest transaction
and therefore does.not reguire prior approval from the
General Meeting of Shareholders of the Company as
stipulated in POJK 42/2020, nor is it classified as a
material transaction as defined in POJK 17/2020, as the
value of the transaction is less than 2096 of the
