PENGUMUMAN KEPADA PARA PEMEGANG SAHAM
PT FORTUNE MATE INDONESIA Tbk (“Perseroan”)
Sesuai dengan Peraturan OJK No. 15/POJK.04/2020 tentang Rencana dan Penyelenggaraan Rapat Umum
Pemegang Saham Perusahaan Terbuka (“POJK 15/2020”), dengan ini Direksi Perseroan mengumumkan
kepada Para Pemegang Saham Perseroan bahwa Perseroan akan menyelenggarakan Rapat Umum
Pemegang Saham Tahunan (selanjutnya disebut “Rapat”) di Surabaya, pada hari Jumat , tanggal 20 Juni
2025.
Sesuai dengan ketentuan Pasal 52 POJK 15/2020, PANGGILAN untuk Rapat kepada pemegang saham akan
dilakukan pada hari Rabu tanggal 28 Mei 2025 paling sedikit melalui situs web Bursa Efek Indonesia (“BEI”)
,situs web Perseroan dan situs web PT Kustodian Sentral Efek Indonesia (“KSEI”) selaku Penyedia E-RUPS
Sesuai dengan ketentuan Pasal 23 ayat (2) POJK 15/2020, pemegang saham yang berhak hadir atau diwakili
dalam Rapat adalah pemegang saham yang namanya tercatat dalam Daftar Pemegang Saham Perseroan
pada hari Selasa tanggal 27 Mei 2025 pukul 16.00 wib atau kuasa mereka yang sah
Setiap usul pemegang saham akan dimasukkan ke dalam mata acara Rapat apabila memenuhi ketentuan
Pasal 16 ayat (1) dan (2) POJK 15/2020, yakni pemegang saham yang mengusulkan mata acara Rapat
merupakan 1 (satu) pemegang saham atau lebih yang mewakili sedikitnya 1/20 (satu perduapuluh) bagian dari
jumlah saham dengan hak suara yang sah yang telah dikeluarkan Perseroan dan usul mata acara tersebut
disampaikan paling lambat 7 (tujuh) hari sebelum pemanggilan Rapat yaitu tanggal 21 Mei 2025.

ANNOUNCEMENT TO SHAREHOLDERS
PT FORTUNE MATE INDONESIA Tbk (“Perseroan”)
In accordance with OJK Regulation No. 15/POJK.04/2020 concerning the Plan and Implementation of the
General Meeting of Shareholders of a Public Company (“POJK 15/2020”), the Board of Directors of the
Company hereby announces to the Shareholders of the Company that the Company will hold an Annual
General Meeting of Shareholders (hereinafter referred to as the “Meeting of ”) in Surabaya, on Friday, June
20, 2025.
In accordance with the provisions of Article 52 of POJK 15/2020, the INVITATION for the Meeting to the
shareholders will be made on Wednesday , May 28, 2025 at least through the Indonesia Stock Exchange
(IDX) website, the Company's website and the PT Kustodian Sentral Efek Indonesia website. (“KSEI”) as the E-
GMS Provider
In accordance with the provisions of Article 23 paragraph (2) of POJK 15/2020, shareholders who are entitled to
attend or be represented at the Meeting are shareholders whose names are recorded in the Company's
Shareholders Register on Tuesday, May 27, 2025 at 16.00 WIB or their legal proxies.
Each shareholder proposal will be included in the agenda of the Meeting if it meets the provisions of Article 16
paragraph (1) and (2) of POJK 15/2020, namely the shareholder who proposes the agenda of the Meeting is 1
(one) shareholder or more representing at least 1 /20 (one twentieth) of the number of shares with valid voting
rights that have been issued by the Company and the proposed agenda shall be submitted no later than 7
(seven) days prior to the summons for the Meeting, namely May 21, 2025.
