Penjualan aset tetap berupa tanah Blok A seluas 23.951 m2 milik
PT Bali Realtindo Benoa (“BRB”), perseroan terbatas yang sahamnya
dimiliki 99,99”o oleh Perseroan, kepada PT Berkat Benoa Propertindo
(“BBP”), yang merupakan Transaksi Material / The sale of fixed assets
in the form of Block A land covering an area of 23,951 m2 owned by
PT Bali Realtindo Benoa ("BRB”), a limited liability company whose
shares are 99.994 owned by the Company, to PT Berkat Benoa
Propertindo ("BBP"), which is a Material Transaction.

BRB yang merupakan anak perusahaan Perseroan melakukan
penjualan aset tetap berupa tanah pada bidang Blok A seluas
23.951 m? dengan harga jual beli sebesar Rp89.816.250.000,-
(delapan puluh sembilan miliar delapan ratus enam belas juta dua
ratus lima puluh ribu Rupiah) yang merupakan bagian dari transaksi
penjualan tanah dengan total seluas 42.644 m? sebagaimana
disepakati dalam Akta No. 16 tanggal 07 Agustus 2025, yang dibuat
di hadapan | Nyoman Suryawan, S.H., Notaris dan PPAT di
Kabupaten Badung sebagaimana diubah dengan Kesepakatan
Perubahan Perjanjian Jual Beli Bersyarat yang dibuat di bawah
tangan dan bermeterai cukup tanggal 3 Juni 2026. Penjualan tanah
pada bidang Blok A seluas 23.951 m2 dilaksanakan berdasarkan:

a. Akta Jual Beli No. 58 tanggal 6 Juli 2026 dibuat di hadapan
Jolanda Imelda Kalalo, S.H., M.Kn., Pejabat Pembuat Akta Tanah
di Kabupaten Badung, Provinsi Bali untuk bidang tanah Sertifikat
Hak Guna Bangunan, NIB: 22.09.000033498.0 seluas 11.725 m?.

b. Akta Jual Beli No. 59 tanggal 6 Juli 2026 dibuat di hadapan
Jolanda Imelda Kalalo, S.H., M.Kn., Pejabat Pembuat Akta Tanah
di Kota Denpasar, Provinsi Bali untuk bidang tanah Sertifikat Hak
Guna Bangunan, NIB: 22.09.000031647.0 seluas 6.322 m?.

Hak Guna Bangunan, NIB: 22.09.000034879.0 seluas 5.744 m2

d. Akta Jual Beli No.61 tanggal 6 Juli 2026 dibuat di hadapan
Jolanda Imelda Kalalo, S.H., M.Kn., Pejabat Pembuat Akta Tanah
di Kabupaten Badung, Provinsi Bali untuk bidang tanah Sertifikat
Hak Guna Bangunan, NIB: 22.09.000031654.0 seluas 160 m2.

BRB, a subsidiary of the Company, sold fixed assets in the form of
land in Block A, covering an area of 23,951 m'?, for a sale and
purchase price of Rp89.816.250.000,00 (eighty-nine billion eight
hundred sixteen million two hundred fifty thousand Rupiah). This was
part of a land sale transaction totaling approximately 42,644 m?, as
agreed in Deed No. 16 dated August 7, 2025, drawn up before I
Nyoman Suryawan, S.H., Notary and Land Deed Official in Badung
Regency, as amended by a Conditional Sale and Purchase
Agreement Amendment Agreement, privately executed and duly
stamped, dated June 3, 2026. The sale of land in Block A, covering
an area of 23,951 m?, was carried out based on:

a. Deed of Sale and Purchase No. Deed of Sale and Purchase No.
58 dated July 6, 2026, drawn up before Jolanda Imelda Kalalo,
S.H., M.Kn., Land Deed Official in Badung Regency, Bali
Province, for a land parcel with a Building Use Rights Certificate,
NIB: 22.09.000033498.0, covering an area of 11,725 m?.

b. Deed of Sale and Purchase No. 59 dated July 6, 2026, drawn up
before Jolanda Imelda Kalalo, S.H., M.Kn., Land Deed Official in
Denpasar City, Bali Province, for a land parcel with a Building Use
Rights Certificate, NIB: 22.09.000031647.0, covering an area of
6,322 me.

c. Deed of Sale and Purchase No. Deed No. 60 dated July 6, 2026,
drawn up before Jolanda Imelda Kalalo, S.H., M.Kn., Land Deed
Official in Badung Regency, Bali Province, for a land parcel with a
Building Use Rights Certificate, NIB: 22.09.000034879.0,
covering an area of 5,744 me.

d. Deed of Sale and Purchase No. 61 dated July 6, 2026, drawn up
before Jolanda Imelda Kalalo, S.H., M.Kn., Land Deed Official in
Badung Regency, Bali Province, for a land parcel with a Building
Use Rights Certificate, NIB: 22.09.000031654.0, covering an area
of 160 m3.
