Uraian Informasi atau Fakta Material Sehubungan dengan Surat Perseroan No.
191/ADMF/CS/VI/25 tanggal 30 Juni 2025 perihal Tambahan
Informasi dan/atau Perubahan Kedua atas Ringkasan
Rancangan Penggabungan antara PT Adira Dinamika Multi
Finance Tbk dan PT Mandala Multifinance Tbk ("Rancangan
Penggabungan"), Perseroan telah mengumumkan rencana
untuk meningkatkan porsi saham yang dimiliki oleh publik (free
float) hingga mencapai:
1. paling sedikit 7,5% saham free float sesuai ketentuan
Peraturan BEI No. I-A pada tanggal Efektif Penggabungan;
dan
2. paling sedikit 10% dalam jangka waktu satu tahun
sejak tanggal diterbitkannya pernyataan efektif atas
penggabungan oleh OJK Pasar Modal,
("Peningkatan Free Float").
Kecuali ditentukan lain dalam Keterbukaan Informasi ini,
istilah-istilah yang diawali dengan huruf kapital memiliki
pengertian sebagaimana diberikan dalam Rancangan
Penggabungan.
Sehubungan dengan hal-hal di atas:
1. Sesuai dengan Surat Perseroan No.
271/ADMF/CS/X/25 tanggal 1 Oktober 2025 perihal Laporan
Informasi atau Fakta Material, tanggal efektif Penggabungan
adalah 1 Oktober 2025. Namun demikian, berdasarkan surat
dari PT Bursa Efek Indonesia ("BEI") No.S-10854/BEI.PP1/09-
2025 tanggal 17 September 2025 perihal Tanggapan
Permohonan Waiver Pemenuhan Ketentuan V.1.1 Peraturan
Bursa Nomor I-A, Perseroan telah memperoleh perpanjangan
jangka waktu untuk memenuhi ketentuan Peningkatan Free
Float paling sedikit 7,5% saham free float hingga tanggal 31
Maret 2026.
2. Sesuai dengan Surat OJK Pasar Modal No. S-59/D.
04/2025 tanggal 26 Juni 2025 perihal Pemberitahuan Efektif
Pernyataan Penggabungan Usaha, pernyataan efektif atas
penggabungan dari OJK Pasar Modal telah diterbitkan pada
tanggal 26 Juni 2025. Dengan demikian, tahapan pelaksanaan
Peningkatan Free Float paling sedikit 10% saham free float
adalah sampai dengan tanggal 26 Juni 2026.
Saat ini, Perseroan bersama-sama dengan saham pengendali
sedang melakukan kajian dan evaluasi atas berbagai alternatif
yang tersedia serta terus berkomunikasi dengan Regulator,
dalam rangka memenuhi rencana Peningkatan Free Float, dan
akan terus memantau perkembangan serta mengambil
langkah-langkah yang dipandang perlu sesuai dengan
mempertimbangkan kondisi dan kebutuhan Perseroan.
Dampak kejadian, informasi atau fakta Sampai dengan tanggal dibuatnya surat ini, tidak ada dampak
material tersebut terhadap kegiatan material yang merugikan terhadap kegiatan operasional,
operasional, hukum, kondisi keuangan, hukum, kondisi keuangan atau kelangsungan usaha
atau kelangsungan usaha Emiten atau Perseroan

Description of Material Information or With reference to the Companys Letter No.
Facts 191/ADMF/CS/VI/25 dated 30 June 2025 regarding the
Additional Information and/or Second Amendment to the
Abriged Merger Plan between PT Adira Dinamika Multi
Finance Tbk and PT Mandala Multifinance Tbk ("Merger
Plan"), the Company previously announced its plan to increase
the proportion of shares held by the public (free float) to:
1. at least 7.5% public float shares as required under
IDX Regulation No. I-A as of the Merger Effective Date; and
2. at least 10% within one year from the issuance of the
effective statement for the merger by OJK Capital Markets,
("Free Float Increase").
Unless otherwise defined in this Information Disclosure,
capitalized terms and references to specific provisions
contained herein shall have the meanings and interpretations
ascribed to them in the Merger Plan.
In relation to the above matters:
1. In accordance with the Letter of the Company No.
271/ADMF/CS/X/25 dated 1 October 2025 regarding the
Report on Material Information or Facts, the Effective Date of
the Merger was 1 October 2025. However, pursuant to PT
Bursa Efek Indonesia Letter No. S-10854/BEI.PP1/09-2025
dated 17 September 2025 regarding Response to the Waiver
Request for Compliance with Provision V.1.1 of IDX Rule No.
I-A, the Company has obtained an extension of time until 31
March 2026 with respect to the Free Float Increase to at least
7.5% public float shares.
2. In accordance with OJK Capital Markets Letter No. S-
59/D.04/2025 dated 26 June 2025 regarding Notification of the
Effective Date of the Merger Statement, the effective
statement for the merger was issued by OJK Capital Markets
Letter on 26 June 2025. Accordingly, the timeline for the Free
Float Increase to at least 10% is until 26 June 2026.
The Company and majority shareholders are currently
reviewing and evaluating the various available alternatives and
are in ongoing communication with the Regulator to achieve
the proposed Free Float Increase, and will continue to monitor
developments and take such measures as it considers
appropriate, taking into account the Companys circumstances
and business needs.
