Tanggal kejadian/ Date of occurrence: 30 April 2025 30 April 2025 Jenis informasi atau fakta material/ Typeof information or material fact: Informasi atau Fakta Material Lainnya - Penyetoran modal untuk saham baru PT Maha Raja Mineral melalui anak perusahaan Perseroan Information or Other Material Facts - Subscription of new shares of PT Maha Raja Mineral shares through the Company's subsidiary Uraian informasi atau Fakta Material lainnya yang relevan/ Details of information or other relevant Material Fact: Perseroan melalui anak perusahaannya, yaitu PT Petrosea Infrastruktur Nusantara telah melakukan penyetoran saham baru atas 4096 saham PT Maha Raja Mineral (“MRM”), suatu perusahaan terbatas yang bergerak di bidang perdagangan komoditas batubara, nikel dan bijih besi di Indonesia. Nilai penyetoran modal untuk saham baru tersebut adalah sebesar Rp 56.628.457.304 untuk 535.104.000 saham MRM berdasarkan akta No. 56 tanggal 29 April 2025, yang dibuat dihadapan notaris Yulia,S.H., notaris di Jakarta Selatan dan telah mendapatkan penerimaan pemberitahuan perubahan anggaran dasar dari Menteri Hukum Republik Indonesia melalui surat keputusan no. AHU-AH.01.03-0118042 tanggal 30 April 2025. Sehingga kepemilikan saham di MRM adalah PT Petrosea Infrastruktur Nusantara sejumlah 40Y6 dan sisanya sejumlah 60Y6 dimiliki oleh para pemegang saham awal yaitu PT Maharaja Nusantara Energi, PT Maha Harum Abadi dan PT Vantama Multi Mahesa. Transaksi tersebut dilakukan oleh PIN dengan melakukan penyetoran modal atas penerbitan seluruh saham baru MRM yang merupakan peningkatan modal ditempatkan dan disetor dari MRM. TThe Company, through its subsidiary, namely PT Petrosea Infrastruktur Nusantara has subscribed 4046 of the new shares of PT Maha Raja Mineral (“MRM”), a limited company engaged in the coal, nickel and iron ore commodity trading sector in Indonesia. The capital contribution value for the new shares is Rp 56,628,457,304 for 535,104,000 MRM shares based on deed No. 56 dated 29 April 2025, made before notary Yulia, S.H., notary in South Jakarta and has received notification of changes to the articles of association from the Minister of Law of the Republic of Indonesia through decree no. AHU-AH.01.03-0118042 dated 30 April 2025. So that the share ownership in MRM is PT Petrosea Infrastruktur Nusantara at 4096 and the remaining 6046 is owned by the initial shareholders, namely PT Maharaja Nusantara Energi, PT Maha Harum Abadi and PT Vantama Multi Mahesa. The transaction was carried out by PIN by making a capital deposit for the issuance of all new MRM shares which is an increase in the issued and paid-up capital of MRM. d

The nature of the relationship between the parties entering into the agreement does not have affiliate relations. 4. | Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan atau kelangsungan usaha Emiten atau Perusahaan Publik/ The impact for such information or material fact towards operational activities, legal, financial condition or business continuity of Issuer or Public Company: Penyetoran saham baru dalam MRM tersebut merupakan bagian dari strategi pengembangan usaha dan diversifikasi bisnis dari PIN guna memperkuat kedudukan Perseroan termasuk menciptakan nilai (value creation) bagi seluruh pemegang saham. The subscription of MRM's new shares is part of PIN's business developmeni and diversification strategy to strengthen the Company's position, including creating value for all shareholders. 5. | Keterangan lain- lain/Others: Transaksi ini bukan merupakan transaksi — afiliasi — & — benturan kepentingan sebagaimana dimaksud dalam POJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi & Transaksi Benturan Kepentingan serta bukan merupakan transaksi material sebagaimana dimaksud dalam POJK No. 17/POJK.04/2020 tentang Transaksi Material & Perubahan Kegiatan Usaha. This transaction is not an affiliate transaction & conflict of interest as referred to in POJK No. 42/POJK.04/2020 concerning Affiliate Transactions & Conflict of Interest Transactions and is not a material transaction as referred to in POJK No. 17/POJK.04/2020 concerning Material Transactions & Changes in Business Activities.
