atau pembentukan usaha patungan
Uraian Informasi atau Fakta Material Perseroan telah melakukan pendirian entitas anak baru
dengan nama PT Clara Dinamika Abadi, selanjutnya disebut
PT CDA dengan kepemilikan saham sebesar 72,5% (tujuh
puluh dua koma lima persen) dari total modal disetor.
PT CDA didirikan pada tanggal 16 April 2025 berdasarkan
Akta Pendirian yang telah dibuat di hadapan Notaris Piter Lie,
S.H., M.Kn, dan dalam proses pengesahan oleh Kementerian
Hukum dan Hak Asasi Manusia Republik Indonesia pada
tanggal 27 April 2025.
Kepemilikan saham Perseroan sebesar 72,5% (tujuh puluh
dua koma lima persen) dalam PT CDA menunjukkan
pengendalian mayoritas, sehingga PT CDA akan menjadi anak
perusahaan Perseroan. PT CDA bergerak dalam bidang
Internet Service Provider.

Dampak kejadian, informasi atau fakta Dampak terhadap Kegiatan Operasional
material tersebut terhadap kegiatan Pendirian PT CDA akan mendukung diversifikasi operasional
operasional, hukum, kondisi keuangan, Perseroan melalui ekspansi bisnis ke sektor Telekomunikasi.

Perusahaan Publik a. Seluruh proses pendirian PT CDA dilakukan sesuai
dengan peraturan perundang-undangan yang berlaku,
termasuk pengesahan oleh Kementerian Hukum dan Hak
Asasi Manusia.
b. Dengan kepemilikan saham mayoritas sebesar
72,5% (tujuh puluh dua koma lima persen), Perseroan tetap
memiliki kendali strategis terhadap PT CDA, sehingga tidak
menimbulkan risiko hukum signifikan terhadap kelangsungan
usaha Perseroan.
Dampak terhadap Kondisi Keuangan
a. Dengan penyertaan modal sebesar Rp 725.000.000
(tujuh ratus dua puluh lima juta Rupiah) atau 72,5% (tujuh
puluh dua koma lima persen) dari total modal disetor PT CDA,
pendirian ini tidak memberikan dampak material negatif
terhadap kondisi keuangan Perseroan karena bersumber dari
alokasi internal yang telah direncanakan.
Dampak terhadap Kondisi Keuangan
b. Dengan penyertaan modal sebesar Rp 725.000.000
(tujuh ratus dua puluh lima juta Rupiah) atau 72,5% (tujuh
puluh dua koma lima persen) dari total modal disetor PT CDA,
pendirian ini tidak memberikan dampak material negatif
terhadap kondisi keuangan Perseroan karena bersumber dari
alokasi internal yang telah direncanakan.
Dampak terhadap Kelangsungan Usaha
a. Pendirian PT CDA memperkuat posisi Perseroan di
pasar ISP dengan mendukung pengembangan infrastruktur
jaringan telekomunikasi yang menjadi dasar operasional
layanan internet.
b. Melalui diversifikasi usaha ke sektor konstruksi dan
telekomunikasi, Perseroan dapat meningkatkan daya saing
dan ketahanan usaha dalam menghadapi dinamika pasar
teknologi informasi dan komunikasi.

Description of Material Information or The Company has established a new subsidiary by the name
Facts of PT Clara Dinamika Abadi, hereinafter referred to as PT CDA
with a share ownership of 72.5% (seventy two point five
percent) of the total paid-up capital.
PT CDA was established on 16 April 2025 based on the Deed
of Establishment drawn up before Notary Piter Lie, S.H., M.Kn,
and in the process of ratification by the Ministry of Law and
Human Rights of the Republic of Indonesia on 27 April 2025.
The Company's 72.5% (seventy two point five percent)
shareholding in PT CDA represents majority control, thus PT
CDA will become a subsidiary of the Company. PT CDA
having its business activity as Internet Service Provider.

a. The entire process of establishing PT CDA was
carried out in accordance with the prevailing laws and

point five percent), the Company continues to have strategic
control over PT CDA, thus posing no significant legal risk to
the Company's business continuity
Impact on the Financial Conditions
a. With capital participation of Rp 725,000,000 (seven
hundred twenty five million Rupiah) or 72.5% (seventy two
point five percent) of the total paid-up capital of PT CDA, this
establishment does not have a material negative impact on the
Company's financial condition because it is sourced from
planned internal allocations.
b. In the long term, this establishment is expected to
make a positive contribution to the Company's revenue
through the potential for increased services and diversification
of the business portfolio.
Impact on the Business Continuity
a. The establishment of PT CDA strengthens the
Company's position in the ISP market by supporting the
development of telecommunications network infrastructure
which is the basis for internet service operations.
b. Through business diversification into the construction
and telecommunications sectors, the Company can increase
its competitiveness and business resilience in facing the
dynamics of the information and communication technology
market.
