Uraian Informasi atau Fakta Material 1. Pengalihan kepemilikan 24.999.999 (dua puluh empat juta
sembilan ratus sembilan puluh sembilan ribu
sembilan ratus sembilan puluh sembilan) lembar saham
Seri B yang seluruhnya senilai
Rp24.999.999.000.000,00 (dua puluh empat triliun sembilan
ratus sembilan puluh sembilan miliar sembilan
ratus sembilan puluh sembilan juta Rupiah) dari seluruh
saham yang telah dikeluarkan dan disetor penuh
Perseroan melalui mekanisme inbreng yang dilaksanakan
Negara RI pada BKI;
2. BKI merupakan Perusahaan Induk Operasional (Holding
Operasional) yang seluruh sahamnya dimiliki oleh
Negara RI;
3. Pengalihan saham milik Negara RI sebagaimana Akta
Penyertaan Saham Dengan Pemasukan Dalam
Perseroan Terbatas No. 121 tanggal 22 Maret 2025 dibuat
di hadapan Jose Dima Satria S.H., M.Kn., Notaris
di Jakarta, merupakan pelaksanaan peraturan perundang-
undangan yaitu Peraturan Pemerintah Nomor 15
Tahun 2025 tentang Penambahan Penyertaan Modal
Negara RI ke dalam Modal Saham Perusahaan
Perseroan (Persero) PT Biro Klasifikasi Indonesia untuk
Pendirian Holding Operasional;
4. Sehubungan dengan Pengalihan dimaksud, Perubahan
struktur pemegang saham sebagaimana dimaksud
meliputi pemenuhan total modal ditempatkan dan disetor
Perseroan sejumlah Rp25.000.000.000.000,00 (dua
puluh lima triliun rupiah) oleh para pemegang saham
sebagai berikut:
1. Rp1.000.000,00 (satu juta rupiah) oleh Negara RI
merupakan setoran modal lama Saham Seri A
Dwiwarna;
2. Rp24.999.999.000.000,00 (dua puluh empat triliun
sembilan ratus sembilan puluh sembilan miliar sembilan
ratus sembilan puluh sembilan juta rupiah) oleh PT Biro
Klasifikasi Indonesia (Persero) merupakan setoran
modal yang berasal dari pengalihan seluruh saham Seri
B Negara RI pada Perseroan
Dampak kejadian, informasi atau fakta 1. Negara Republik Indonesia tetap bertindak sebagai
material tersebut terhadap kegiatan Pemegang Saham Pengendali Perseroan (Ultimate
operasional, hukum, kondisi keuangan, Beneficial Owner) melalui kepemilikan secara langsung atas
atau kelangsungan usaha Emiten atau 1 (satu) saham Seri A Dwiwarna.
Perusahaan Publik
2. Pengalihan kepemilikan saham tersebut tidak mengubah
status Perseroan yang tetap berkedudukan sebagai
Badan Usaha Milik Negara (BUMN).

Description of Material Information or 1. Transfer of ownership of 24,999,999 (twenty four million
Facts nine hundred ninetynine thousand nine hundred
ninetynine) Series B shares, collectively valued at IDR24,
999,999,000,000 (twenty four trillion nine hundred
ninetynine billion nine hundred ninetynine million Rupiah),
representing all issued and fully paid shares of the
Company, executed through an inkind contribution
mechanism by the State of the Republic of Indonesia to
PT Biro Klasifikasi Indonesia (BKI).
2. BKI is an Operational Holding Company wholly owned by
the State of the Republic of Indonesia.
3. The transfer of shares owned by the State of the Republic of
Indonesia, as stipulated in the Deed of Share
Contribution with In Kind Capital Injection No. 121 dated
March 22, 2025, executed before Jose Dima Satria
S.H., M.Kn., Notary Public in Jakarta, is conducted in
accordance with Government Regulation No. 15 of
2025 on the Addition of State Capital Participation into the
Share Capital of PT Biro Klasifikasi Indonesia
Persero for the Establishment of an Operational Holding
Company.
4. Pursuant to the aforementioned Transfer, the shareholder
structure adjustment includes the fulfillment of the
Companys total placed and paidup capital amounting to
IDR25,000,000,000,000 twenty five trillion Rupiah
contributed by the shareholders as follows:
1. IDR1,000,000.00 one million Rupiah contributed by the
State of the Republic of Indonesia, representing
the existing capital contribution for Series A Dwiwarna
shares
2. IDR24,999,999,000,000.00 twentyfour trillion nine
hundred ninetynine billion nine hundred ninetynine
million Rupiah contributed by PT Biro Klasifikasi
Indonesia Persero, originating from the transfer of all
Series B shares owned by the State of the Republic of
Indonesia to the Company.
Impact of event, material information or 1. The Government of the Republic of Indonesia shall remain
facts towards Issuers or Public the Controlling Shareholder (Ultimate Beneficial
Company’s operational activities, legal, Owner) of the Company through its direct ownership of one
financial condition, or going concern (1) Series A Dwiwarna share.
2. The transfer of ownership of the shares shall not alter the
status of the Company, which shall remain a State-
Owned Enterprise (SOE)
