SMBC Indonesia 2025 AGMS Decides on New Board of Directors
and Board of Commissioners
Jakarta, April 22, 2025 – The Annual General Meeting of Shareholders (AGMS) of PT Bank
SMBC Indonesia Tbk (SMBC Indonesia) announced the changes on the Board of Directors
and Board of Commissioners, and decided on the Use of the Company's Net Profit for the
financial year ending December 31, 2024 to be distributed to shareholders in the form of
cash dividends, today in Jakarta.
The term of office of the Company's Board of Directors and Board of Commissioners ended
at the AGMS, which decided to re-appoint, accept the desire not to be reappointed and ap-
point new replacement members of the Board of Directors and Board of Commissioners.
President Director of SMBC Indonesia Henoch Munandar expressed his highest appreciation
to all the Board of Directors and Board of Commissioners that chose not to be re-appointed
for their dedication and contributions throughout their term of office.
“SMBC Indonesia today again recorded an important milestone in its transformative journey
by announcing changes to a number of the Board of Commissioners and Board of Direc-
tors. I would like to thank the previous board of commissioners and directors who have con-
tributed to the growth of SMBC Indonesia's business during their tenure, while welcoming
the new board of commissioners and directors with the hope that together, we can main-
tain the good performance that has been achieved throughout 2024 and beyond,” said
Henoch.
The shareholders approved the appointment of Michellina Laksmi Triwardhany to replace
Darmadi Sutanto as Deputy President Director of SMBC Indonesia; Jun Saito to replace
Kaoru Furuya as Deputy President Director of SMBC Indonesia; and Yuki Terayama replaces
Keishi Kobata as Director of SMBC Indonesia, with a term of office effective from the date of
obtaining OJK approval, and obtaining his work permit and residence permit until the 2028
AGMS.
Furthermore, the shareholders also determined changes to the composition of the Board of
Commissioners, accepting the desire not to be reappointed from Edmund Tondobala and
Ongki Wanadjati Dana, as well as Kusumaningtuti Sandriharmy Soetiono as Independent
Commissioner with a term of office starting from the closing of the AGMS until the 2028
AGMS.
Thus, the composition of the Board of Directors of SMBC Indonesia is effective as of the
closing of the 2025 AGMS:

The composition of the Company's Board of Commissioners effective as of the closing of

Furthermore, SMBC Indonesia recorded a consolidated increase in total assets of 20%
compared to the previous year to Rp241.1 trillion at the end of 2024. Meanwhile, net profit
after tax in 2024 increased by 19% compared to the previous year to Rp2.8 trillion in 2024.
Of the total net profit, SMBC Indonesia will distribute 20 percent or Rp562.6 billion to share-
holders, or approximately Rp52.85 per share. The AGMS also determined the Company's
remaining net profit for the 2024 financial year after deducting the provision for dividends
as retained earnings.
This positive growth is certainly inseparable from the performance and reflection of SMBC
Indonesia's strong fundamentals, especially its commitment to continue to drive more
meaningful growth for customers and the community.
