Pendahuluan/ : Dalam rangka memenuhi ketentuan POJK 17/2020, Direksi Perseroan
Introduction bermaksud mengumumkan keterbukaan informasi ini dalam rangka
menyediakan informasi secara jelas dan lengkap kepada Pemegang
Saham Perseroan (“Keterbukaan Informasi”).
In order to fulfil the provisions of POJK 17/2020, the Board of Directors
of the Company intends to announce this disclosure of information in
order to provide clear and complete information to the Shareholders of
the Company (“Disclosure of Information”).
Perseroan telah melakukan penjualan sejumlah 218.741.116,0822
unit penyertaan pada Kontrak Investasi Kolektif Dana Investasi
Infrastruktur Bowsprit Township Development (“DINFRA”) kepada PT
Megakreasi Cikarang Permai (“MKCP”) pada tanggal 9 September
2024 (“Transaksi”).
The Company has sold 218,741,116.0822 of the participation units of
Collective Investment Contract Bowsprit Township Development
Infrastructure Investment Fund (“DINFRA”) to PT Megakreasi
Cikarang Permai (“MKCP”) on 9 September 2024(“Transaction”).

DINFRA merupakan pemegang Surat Utang Jangka Panjang Mahkota
Sentosa Utama I TAHUN 2019 yang diterbikan PT Mahkota Sentosa
Utama (“MSU”).
DINFRA is the holder of Mahkota Sentosa Utama Long-Term Notes I
TAHUN 2019 issued by PT Mahkota Sentosa Utama (“MSU”).
Nilai Transaksi adalah Rp3.075.922.840.000 dimana berdasarkan
Laporan Keuangan Konsolidasian Interim Perseroan untuk periode
yang berakhir pada tanggal 30 Juni 2024, nilai Transaksi adalah
sejumlah 45% dari ekuitas Perseroan, sehingga Transaksi merupakan
suatu transaksi material sebagaimana dimaksud dalam POJK
17/2020.
The value of the Transaction is IDR3,075,922,840,000 where based
on the Company's Interim Consolidated Financial Statements for the
period ended 30 June 2024, the value of the Transaction is an amount
of 45% of the Company's equity, so that the Transaction is a material
transaction as referred to in POJK 17/2020.
Transaksi juga merupakan transaksi afiliasi sebagaimana dimaksud
Peraturan OJK No. 42/POJK.04/2020 tentang Transaksi Afiliasi dan
Transaksi Benturan Kepentingan (“POJK 42/2020”). Sebagaimana
Transaksi merupakan transaksi material dan merupakan transaksi
afiliasi, berdasarkan Pasal 33 huruf (a) POJK 17/2020, maka
Perseroan hanya wajib memenuhi ketentuan sebagaimana diatur
dalam POJK 17/2020.
The Transaction is an affiliated party transaction as referred to in OJK
Regulation No. 42/POJK.04/2020 on Affiliated Party Transactions and
Conflict of Interest Transactions (“POJK 42/2020”). As the Transaction
is a material transaction and an affiliated party transaction, based on
Article 33 letter (a) POJK 17/2020, the Company is only required to
fulfil the provisions as stipulated in POJK 17/2020.
Lebih lanjut, berdasarkan Pasal 11 huruf (a) POJK 17/2020, Transaksi
ini merupakan transaksi yang dikecualikan untuk menggunakan penilai
dan memperoleh persetujuan Rapat Umum Pemegang Saham
(“RUPS”) karena Transaksi merupakan transaksi yang dilakukan
dengan perusahaan terkendali yang sahamnya dimiliki paling sedikit
99% dari modal disetor perusahaan terkendali dimana MKCP
merupakan perusahaan terkendali dari Perseroan yang sahamnya
dimiliki Perseroan sejumlah 99,99% dari modal ditempatkan dan
disetor MKCP.
Furthermore, based on Article 11 letter (a) POJK 17/2020, this
Transaction is an exempted transaction to use an appraiser and obtain
approval from the General Meeting of Shareholders (“GMS”) because
the Transaction is a transaction conducted with a controlled company

whose shares are owned by at least 99% of the paid-up capital of the
controlled company where MKCP is a controlled company of the
Company whose shares are owned by the Company in the amount of
99.99% of the issued and paid-up capital of MKCP.

DINFRA dibentuk berdasarkan Akta Kontrak Investasi Kolektif Dana
Investasi Infrastruktur berbentuk Kontrak Investasi Kolektif Dana
Investasi Infrastruktur Bowsprit Township Development 2 No. 70
tertanggal 20 Agustus 2019, yang dibuat di hadapan Leolin Jayayanti,
S.H., M.Kn., Notaris di Jakarta Selatan, sebagaimana terakhir diubah
dengan Akta Addendum Kontrak Investasi Kolektif Dana Investasi
Infrastruktur berbentuk Kontrak Investasi Kolektif Dana Investasi
Infrastruktur Bowsprit Township Development 2 No. 79 tertanggal 30
September 2019, yang dibuat di hadapan Leolin Jayayanti, S.H.,
M.Kn., Notaris di Jakarta Selatan.
DINFRA was formed based on the Deed of Collective Investment
Contract of Infrastructure Investment Fund in the form of Collective
Investment Contract of Bowsprit Township Development 2
Infrastructure Investment Fund No. 70 dated 20 August 2019, made
before Leolin Jayayanti, S.H., M.Kn., Notary in South Jakarta, as
amended by the Deed of Addendum of Collective Investment Contract
of Infrastructure Investment Fund in the form of Collective Investment
Contract of Bowsprit Township Development 2 Infrastructure
Investment Fund No. 79 dated 30 September 2019, made before
Leolin Jayayanti, S.H., M.Kn., Notary in South Jakarta.
Berdasarkan Surat Rencana Penjualan Unit Penyertaan DINFRA
Bowsprit Township Development USD tertanggal 6 September 2024,
Perseroan bermaksud untuk melakukan penjualan atas seluruh unit
penyertaannya sejumlah 218.741.116,0822 unit penyertaan pada
DINFRA kepada MKCP, dengan harga penjualan adalah sebesar
Rp3.075.922.840.000, penjualan unit penyertaan DINFRA tersebut
telah dilakukan pada 9 September 2024.
Based on the Letter regarding Plan to Sell of DINFRA Bowsprit
Township Development USD Participation Units dated 6 September
2024, the Company intended to sell all its 218,741,116.0822
participation units in DINFRA to MKCP, with a sales price of
IDR3,075,922,840,000, the sale of DINFRA participation units has
been carried out on 9 September 2024.
Nilai Transaksi merupakan 45% dari jumlah ekuitas Perseroan
berdasarkan Laporan Keuangan Konsolidasian Perseroan Perseroan
untuk periode yang berakhir pada tanggal 30 Juni 2024 yang telah
diaudit oleh Kantor Akuntan Publik Amir Abadi Jusuf, Aryanto, Mawar
& Rekan.

The Transaction value reaches 45% of the Company’s equity based
on the Company's Interim Consolidated Financial Statements for the
period ended 30 June 2024 which has been audited by Public
Accounting Firm Amir Abadi Jusuf, Aryanto, Mawar & Partners.

Parties to the Transaction
a. MKCP
MKCP adalah perseroan terbatas yang didirikan berdasarkan Akta
Pendirian No. 12 tertanggal 17 Oktober 2013, yang dibuat di
hadapan Sitti Laela Sopha Zein, S.H., Notaris di Kabupaten
Bekasi, yang telah memperoleh pengesahan dari Menteri Hukum
dan Hak Asasi Manusia (“Menkumham”) berdasarkan Surat
Keputusan No. AHU-65710.AH.01.01.Tahun 2013 tertanggal 13
Desember 2013.
MKCP is a limited liability company established pursuant to Deed
of Establishment No. 12 dated 17 October 2013, made before Sitti
Laela Sopha Zein, S.H., Notary in Bekasi Regency, which has
been approved by the Minister of Law and Human Rights
(“MOLHR”) based on Decree No. AHU-65710.AH.01.Tahun 2013
dated 13 December 2013.
MKCP berdomisili di Kabupaten Bekasi, dengan alamat kantor di
Easton Commercial Centre, Jl. Gn. Panderman Kav. 05 Lippo
Cikarang, Desa Cibatu, Kecamatan Cikarang Selatan, Kabupaten
Bekasi.
MKCP is domiciled in Bekasi Regency, with office address at
Easton Commercial Centre, Jl. Gn. Panderman Kav. 05 Lippo
Cikarang, Cibatu Village, South Cikarang District, Bekasi
Regency.
b. Perseroan/the Company
Perseroan adalah perseroan terbatas yang pertama kali didirikan
dengan nama PT Desa Dekalb berdasarkan Akta Pendirian No.
43 tertanggal 20 Juli 1987, yang dibuat di hadapan Hendra
Karyadi, S.H., Notaris di Jakarta, yang kemudian diubah namanya
menjadi PT Gunung Cermai Inti sebagaimana diubah dengan Akta
Perubahan Naskah Pendirian No. 63 tertanggal 22 April 1988,
yang dibuat di hadapan Hendra Karyadi, S.H., Notaris di Jakarta,
yang telah memperoleh pengesahan dari Menteri Kehakiman
Republik Indonesia berdasarkan Surat Keputusan No.
C2.4701.HT.01.01-TH’88 tertanggal 30 Mei 1988 dan telah
didaftarkan di Kantor Pengadilan Negeri Jakarta Pusat No.
2117/1988 tertanggal 15 September 1988 serta telah diumumkan
dalam BNRI No. 94, tanggal 23 November 1990, TBNRI No.
4719/1990.

The Company is a limited liability company which was first
established under the name of PT Desa Dekalb based on Deed of
Establishment No. 43 dated 20 July 1987, made before Hendra
Karyadi, S.H., Notary in Jakarta, which was later changed its name
to PT Gunung Cermai Inti as amended by Deed of Amendment to
the Manuscript of Establishment No. 63 dated 22 April 1988, made
before Hendra Karyadi, S.H., Notary in Jakarta, which was
approved by the Minister of Justice of the Republic of Indonesia
based on Decree No. C2.4701.HT.01.01-TH’88 dated 30 May
1988 and registered at the Office of the Central Jakarta District
Court No. 2117/1988 dated 15 September 1988 and announced in
BNRI No. 94, dated 23 November 1990, TBNRI No. 4719/1990.
Sifat dan Hubungan Afiliasi/
Nature and Relation of Affiliation
Adapun sifat hubungan afiliasi antara Perseroan dan MKCP adalah
MKCP merupakan perusahaan terkendali Perseroan yang sahamnya
dimiliki oleh Perseroan secara langsung sebesar 99,99%./
The nature of the affiliated relation between the Company and MKCP
is MKCP is a controlled company of the Company whose shares are
directly owned by the Company amounting to 99.99%.
Penjelasan, Pertimbangan, : Dengan terlaksananya Transaksi, tidak terdapat dampak material
dan Alasan Dilakukannya terhadap kegiatan operasional, hukum, kondisi keuangan atau

The reason the Company sold the participation units to MKCP is
considering that MKCP is the shareholder of MSU, by selling the
participation units to MKCP, the Company can consolidate business
interests related to MSU in MKCP.
Sebagai informasi, Perseroan juga telah mengungkapkan
keterbukaan informasi sehubungan dengan penyelesaian atas unit
penyertaan DINFRA pada tanggal 2 Oktober 2024.
For your information, the Company had also disclosed the disclosure
of information regarding the settlement of DINFRA participation units
on 2 October 2024.
