Uraian Informasi atau Fakta Material Sehubungan dengan surat BEI No. S-03433/BEI.PP2/04-2025
(Surat Bursa) perihal Permintaan Penjelasan Bursa yang
disampaikan melalui IDXNet kepada PT Smartfren Telecom
Tbk (FREN), bersama ini kami sampaikan tanggapan PT
XLSMART Telecom Sejahtera Tbk (Perseroan atau
XLSMART) atas permintaan penjelasan terkait dengan
keterbukaan informasi yang disampaikan oleh FREN pada
tanggal 14 April 2025 melalui surat No. 057/SFTbk-CS/IV/2025
perihal Gugatan dari beberapa pemegang Waran Seri III
FREN (Surat No. 057), sebagaimana berikut:
1. Perkembangan terkini mengenai perkara ini.
2. Penelaahan dan hasil telaah yang telah dilakukan
oleh Perseroan atas perkara ini.
Tanggapan untuk pertanyaan 1 dan 2:
Hingga surat tanggapan ini disampaikan, Perseroan masih
dalam proses penelaahan lebih lanjut terhadap gugatan
Perbuatan Melawan Hukum yang dilayangkan oleh beberapa
pemegang Waran Seri III Perseroan.
3. Bagaimana dampak perkara ini terhadap proses
merger yang sedang dilakukan antara EXCL dan Perseroan.
Tanggapan:
Tidak ada dampak terhadap proses merger yang dilakukan
antara EXCL dan FREN.
4. Legal standing Perseroan.
Tanggapan:
XLSMART senantiasa mematuhi setiap ketentuan peraturan
perundang-undangan yang berlaku, khususnya peraturan dan
ketentuan tentang perseroan terbatas dan pasar modal, juga
dalam hal menyelesaikan gugatan perdata yang ditujukan
kepada Perseroan dari beberapa pemegang Waran Seri III
Smartfren
5. Upaya yang dilakukan Perseroan dalam
menyelesaikan perkara ini.
Tanggapan:
Sebagaimana telah disampaikan dalam tanggapan terhadap
pertanyaan 1 dan 2, Perseroan saat ini masih dalam proses
penelaahan lebih lanjut terhadap gugatan sebagaimana
dimaksud, namun Perseroan akan senantiasa mengikuti
proses hukum dan ketentuan yang berlaku terkait dengan
proses perkara gugatan ini.
Dampak kejadian, informasi atau fakta -
material tersebut terhadap kegiatan
operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Emiten atau
Perusahaan Publik

Description of Material Information or In relation to the IDX Letter No. S-03433/BEI.PP2/04-2025
Facts (Exchange Letter) regarding the Request for Explanation from
the Exchange delivered through IDXNet to PT Smartfren
Telecom Tbk (FREN), we hereby convey the response of PT
XLSMART Telecom Sejahtera Tbk (the Company or
XLSMART) to the request for explanation related to the
disclosure of information submitted by FREN on April 14, 2025,
through letter No. 057/SFTbk-CS/IV/2025 regarding the
Lawsuit from several holders of FREN Series III Warrants
(Letter No. 057), as follows:
1. Latest developments regarding this case.
2. Review and results of the review conducted by the
Company on this case.
Response to Questions 1 and 2:
As of the date of this response letter, the Company is still in
the process of conducting a further review of the civil lawsuit
concerning Alleged Unlawful Acts filed by several holders of
the Series III Warrants of the Company.
3. Impact of this case on the ongoing merger process between
EXCL and the Company.
Response:
There is no impact on the merger process between EXCL and
FREN.
4. The legal standing of the Company
Response:
XLSMART consistently complies with all applicable laws and
regulations, particularly those concerning limited liability
companies and capital markets, including in handling the civil
lawsuit filed by holders of Series III Warrants of Smartfren.
5. Actions taken by the Company to resolve this case.
Response:
As previously conveyed in the responses to Questions 1 and
2, the Company is currently still in the process of further
reviewing the aforementioned lawsuit. However, the Company
will continue to comply with the legal proceedings and
applicable regulations related to this case.
