3. Uraian Informasi/ Pada tanggal 16 April 2025, Perseroan melalui
entitas anak dengan kepemilikan 100% (seratus
persen), PT Reswara Minergi Hartama (“RWA”)
dan PT Agata Nugraha Nastari (“ANN”), telah
melakukan penandatanganan akta jual beli saham
(“AJB”) atas saham-saham pada PT Piranti Jaya
Utama (“PJU”) dengan nilai keseluruhan
ASD57.000.000 (lima puluh tujuh juta dollar
Amerika Serikat) atau setara dengan nominal
Rupiah yang akan dibayarkan pada saat
penyelesaian transaksi, dengan rincian sebagai
berikut:
a. RWA dan ANN telah menandatangani AJB
dengan PT Tuah Turangga Agung (“TTA”)
untuk pembelian 100% kepemilikan saham
TTA pada PT Borneo Berkat Makmur
(“BBM”), dimana BBM merupakan
pemegang saham secara langsung dari
PJU dengan persentase saham sebesar
60%; dan
b. RWA dan ANN telah menandatangani AJB
dengan Borneo Prima Pte Ltd, Edward
Sumarli dan Herry Hermawanto untuk
kepemilikan saham Borneo Prima Pte Ltd,
Edward Sumarli dan Herry Hermawanto
pada PT Borneo Berkat Sentosa (“BBS”),
dimana BBS merupakan pemegang
saham langsung dari PJU dengan
persentase saham sebesar 40%.
Atas penandatanganan AJB sebagaimana tersebut
di atas, RWA dan ANN memiliki seluruh saham
yang ditempatkan dan disetor dalam PJU.
Information Description On April 16th, 2025, the Company through its
subsidiary with 100% (hundred percent) shares
ownership, PT Reswara Minergi Hartama (“RMH”)
and PT Agata Nugraha Nastari (“ANN”), have been
signed the sale and purchase deed of the shares
(“the Sale and Purchase Deed”) for shares in PT
Piranti Jaya Utama (“PJU”) with an aggregate
value of USD57,000,000 (fifty seven million United
States dollar) or the equivalent in Rupiah to be
paid upon completion of the transaction., with the
details as follow:
a. RWA and ANN signed the Sale and
Purchase Deed with PT Tuah Turangga
Agung (“TTA”) for the purchase of 100% of
TTA shares ownership of PT Borneo
Berkat Makmur (“BBM”), where BBM is a
direct shareholders of PJU with 60%
shares percentage; and
b. RWA and ANN signed the Sale and
Purchase Deed with Borneo Prima Pte
Ltd, Edward Sumarli dan Herry
Hermawanto for the purchese of Borneo
Prima Pte Ltd, Edward Sumarli dan Herry

Hermawanto shares ownership of PT
Borneo Berkat Sentosa (“BBS”), where
BBS is a the direct shareholders of PJU
with 40% shares percentage.
Upon the signing of the Sale and Purchase Deed,
RWA and ANN owns all issued and paid-up shares
in PJU.

material tersebut terhadap kegiatan Perseroan dalam meningkatkan portofolio atas
operasional, hukum, kondisi keuangan, cadangan batubara yang dimiliki secara penuh. /

transaction as referred to in the Financial Services
Authority Regulation Number 17/POJK.04/2020 of
2020 concerning Material Transactions and
