with Indonesian law (the “Merger”, with XL as the surviving legal
entity), and (ii) the share sale transaction between AII, as the seller,
and PT Bali Media Telekomunikasi, as the purchaser regarding AII’s
shares in the Public Company (“Shares Sale Transaction”) / (i)
pelaksanaan penggabungan atas usaha PT Smartfren Telecom
Tbk (“Smartfren”), anak perusahaannya yaitu PT Smart Telecom
dan PT XL Axiata Tbk (“XL”) dengan cara penggabungan

(“Penggabungan” dengan XL sebagai perseroan penerima
penggabungan), dan (ii) transaksi penjualan saham oleh AII,
selaku penjual, kepada PT Bali Media Telekomunikasi, selaku

Perusahaan Terbuka (“Transaksi Penjualan Saham”).
