Uraian Informasi atau Fakta Material Pada tanggal 15 April 2025, PT XL Axiata Tbk (XL), PT
Smartfren Telecom Tbk (SF) dan PT Smart Telecom (ST) telah
menandatangani Akta Penggabungan No. 33 tertanggal 15
April 2025, dimana SF dan ST setuju untuk menggabungkan
diri dengan XL sebagai perusahaan penerima penggabungan
dan oleh karenanya, status SF serta ST berakhir karena
hukum (Penggabungan Usaha).
Sebagai bagian dari Penggabungan Usaha, terdapat beberapa
perubahan dalam anggaran dasar XL termasuk perubahan
nama XL menjadi PT XLSMART Telecom Sejahtera Tbk.
Perubahan anggaran dasar tersebut telah berlaku efektif
dengan diperolehnya keputusan persetujuan dan/atau
penerimaan pemberitahuan dari Menteri Hukum Republik
Indonesia (Menkum) sebagai berikut: (i) Keputusan Menkum
tentang Persetujuan Perubahan Anggaran Dasar XL No. AHU-
0026805.AH.01.10. Tahun 2025 tertanggal 16 April 2025 dan
(ii) Penerimaan Pemberitahuan Perubahan Anggaran Dasar
Perseroan oleh Menkum No. AHU-AH.01.03-0102806
tertanggal 16 April 2025.

Description of Material Information or On 15 April 2025, PT XL Axiata Tbk (XL), PT Smartfren
Facts Telecom Tbk (SF), and PT Smart Telecom (ST) signed the
Merger Deed No. 33 dated 15 April 2025, where SF and ST
agreed to merge with XL as the surviving company, and
therefore, SF and ST status cease to exist by operation of law
(Merger).
As part of the Merger, there are several amendments in XL's
articles of association, including the change of name of XL to
PT XLSMART Telecom Sejahtera Tbk. These changes in the
articles of association have become effective with the
obtainment of approval and/or notification receipt from the
Minister of Law of the Republic of Indonesia (MOL) as follows:
(i) Decision of MOL on Approval of Amendments to the Articles
of Association of the Company No. No. AHU-
0026805.AH.01.10. TAHUN 2025 dated 16 April 2025; and (ii)
Receipt of Notification of Amendments to the Articles of
Association of the Company by MOL No. AHU-AH.01.03-
0102806 dated 16 April 2025.
