Maksud dan tujuan pendirian PT Petrosea EPC adalah berusaha dalam bidang aktivitas keuangan dan asuransi, serta aktivitas profesional, ilmiah & teknis. professional, The Company, together with its wholly owned subsidiary, PT Rekakarsa Karya Nusantara (“REKAN”), has established a new company named PT Petrosea Engineering Procurement Construction (“PT Petrosea EPC”), as stated in the Deed of Establishment of Limited Liabilitpy Company No. 09 dated 15 April 2025, made before Ungke Mulawanti, SH, M.Kn., Notary in East Jakarta, and has received the establishment approval from the Minister of Law of the Republic of Indonesia through its decision letter No. AHU-0029476.AH.01.01.TAHUN 2025 dated 15 April 2025. The purpose and objective of establishing PT Petrosea EPC is to engage in financial and insurance activities, as well as scientific, and technical activities. Pendirian PT Petrosea EPC akan memberikan dampak positif bagi Perseroan. The establishment of PT Petrosea EPC will have a positive impact to the Company. Keterangan lain- lain/Others: Pendirian anak Perusahaan ini termasuk Transaksi Afiliasi yang tidak memerlukan persetujuan Rapat Umum Pemegang Saham mengingat sesuai dengan Pasal 6 ayat 1 (b) POJK 42/2020, dimana transaksi tersebut termasuk transaksi antara perusahaan terbuka dengan perusahaan terkendali yang saham nya dimiliki paling sedikit 99Y6 dari modal disetor perusahaan terkendali. The establishment of this subsidiary is considered an Affiliate Transaction that does not reguire approval from the General Meeting of Shareholders, as it Jalls under Article 6, paragraph 1 (b) of POJK 42/2020, where the transaction is between a public company and a controlled company, in which at least 9946 of the controlled company 's shares are owned by the controlling company. Dalam hal terdapat perbedaan penafsiran informasi yang diumumkan dalam Bahasa Inggris dan Bahasa Indonesia, maka informasi yang digunakan sebagai acuan adalah informasi dalam Bahasa Indonesia.
