Uraian Informasi atau Fakta Material Sehubungan dengan adanya Surat Otoritas Jasa Keuangan
No. S-17/D.04/2025 perihal kebijakan pelaksanaan pembelian
kembali saham yang dikeluarkan oleh Perusahaan Terbuka
dalam kondisi pasar yang tidak stabil secara signifikan dan
mempertimbangkan kondisi pasar yang masih terus tidak stabil
maka Perseroan memutuskan untuk melakukan pembelian
kembali saham dengan merujuk kepada Peraturan Otoritas
Jasa Keuangan No. 13 tahun 2023 tentang kebijakan dalam
menjaga kinerja dan stabilitas pasar modal pada kondisi pasar
yang tidak stabil secara signifikan.
Keterbukaan Informasi ini dibuat untuk kepentingan para
pemegang saham Perseroan agar mendapat informasi serta
gambaran yang jelas terkait rencana Perseroan untuk
melakukan pembelian kembali saham Perseroan.
Dampak kejadian, informasi atau fakta Dampak dari kondisi keuangan : Pelaksanaan Buyback tidak
material tersebut terhadap kegiatan akan memberikan pengaruh negatif yang material terhadap
operasional, hukum, kondisi keuangan, kinerja dan pendapatan Perseroan karena arus kas yang
atau kelangsungan usaha Emiten atau tersedia saat ini mencukupi kebutuhan dana untuk
Perusahaan Publik melaksanakan Buyback sehingga tidak akan mengganggu
kebutuhan operasional ataupun dapat menunda pembayaran
yang jatuh tempo dan biaya yang akan timbul dari pembelian
kembali saham ini tidak material sehingga tidak banyak
pengaruh kepada penurunan laba/pendapatan Perseroan.
Perseroan meyakini aksi ini justru memberikan nilai tambah
dan kepercayaan kepada pemegang saham

Type of Material Information or Facts Developments Tbk's Plan to Buy Back Shares
Description of Material Information or In connection with the Financial Services Authority Letter No.
Facts S-17/D.04/2025 concerning the policy of implementing share
buybacks issued by Public Companies in significantly unstable
market conditions and considering market conditions that
continue to be unstable, the Company has decided to carry out
share buybacks by referring to Financial Services Authority
Regulation No. 13 of 2023 concerning policies in maintaining
the performance and stability of the capital market in
significantly unstable market conditions.
This Disclosure of Information is made for the benefit of the
Company's shareholders so that they can obtain information
and a clear picture regarding the Company's plan to carry out
share buybacks.
Impact of event, material information or Impact of financial conditions: the implementation of the
facts towards Issuers or Public Buyback will not have a material negative impact on the
Company’s operational activities, legal, Company's performance and income because the cash flow
financial condition, or going concern currently available is sufficient for the funding needs to
implement the Buyback so that it will not disrupt operational
needs or delay payments due and the costs that will arise from
this share buyback are not material so that they do not have
much impact on the decline in the Company's profit/income.
The Company believes that this action actually provides added
value and trust to shareholders.
