Uraian Informasi atau Fakta Material Perusahaan menerima pemberitahuan tertulis dari First
Resources Limited pada tanggal 14 April 2025
("Pemberitahuan") yang menyatakan bahwa PT Austindo
Kencana Jaya, PT Memimpin Dengan Nurani, Sjakon George
Tahija, George Santosa Tahija (selanjutnya secara bersama-
sama disebut sebagai "Para Penjual"), PT Ciliandra Perkasa
("PT CP") dan First Resources Limited ("FRL") (yang
merupakan entitas induk PT CP) telah menandatangani
perjanjian novasi pada tanggal 11 April 2025 yang mana PT
CP setuju untuk menovasikan hak-hak dan kewajiban-
kewajibannya sehubungan dengan Perjanjian Jual Beli Saham
PT Austindo Nusantara Jaya Tbk. tertanggal 18 Maret 2025
kepada FRL. Sehingga, FRL akan melakukan pengambilalihan
atas saham-saham dalam Perusahaan yang mewakili kurang
lebih 91,17% (sembilan puluh satu koma satu tujuh persen)
dari jumlah seluruh modal ditempatkan dan disetor dalam
Perusahaan, yang dimiliki oleh Para Penjual. Setelah
penyelesaian transaksi pengambilalihan saham tersebut, FRL
akan menjadi pengendali baru Perusahaan (rencana
pengambilalihan saham sebagaimana dideskripsikan di atas
selanjutnya disebut sebagai "Rencana Pengambilalihan").
Saat ini, FRL memiliki secara tidak langsung 0,32% (nol koma
tiga dua persen) saham yang diterbitkan oleh Perusahaan.

pengendali baru Perusahaan, akan melaksanakan penawaran tender wajib sesuai dengan ketentuan dalam Peraturan
Otoritas Jasa Keuangan No. 9/POJK.04/2018 tentang Pengambilalihan Perusahaan Terbuka. Pelaksanaan Rencana
Pengambilalihan maupun penawaran tender wajib akan dilakukan dengan memperhatikan ketentuan yang berlaku,
termasuk ketentuan di bidang pasar modal.

The development of the proposed acquisition of the Company
Type of Material Information or Facts as disclosed in the information disclosure by the Company in
the Material Information or Facts Report Letter No. 015-
03/CS/ANJT/2025 dated 18 March 2025.
Description of Material Information or The Company received a written notification from First
Facts Resources Limited on 14 April 2025 ("Notification") stating that
PT Austindo Kencana Jaya, PT Memimpin Dengan Nurani,
Sjakon George Tahija, George Santosa Tahija (collectively
referred to as "the Sellers"), PT Ciliandra Perkasa ("PT CP")
and First Resources Limited ("FRL") (which is the parent entity
of PT CP) have signed a novation agreement on 11 April 2025
where PT CP agrees to novate its rights and obligations in
connection with the Agreement for the Sale and Purchase of
Shares of PT Austindo Nusantara Jaya Tbk. dated 18 March
2025 to FRL. Consequently, FRL will acquire the shares in the
Company representing approximately 91.17% (ninety-one
point one seven percent) of the total issued and paid-up capital
in the Company owned by the Sellers. Upon completion of this
share acquisition transaction, FRL will become the new
controller of the Company (the share acquisition plan as
described above is hereinafter referred to as the "Proposed
Acquisition").
Currently, FRL indirectly owns 0.32% (zero point three two
percent) of the shares issued by the Company.

As stated in the Notification, following the completion of the Proposed Acquisition, FRL as the new controller of the
Company, will conduct a mandatory tender offer required pursuant to Financial Services Authority Regulation No.
9/POJK.04/2018 on the Acquisition of Public Companies. The implementation of the Proposed Acquisition and the
mandatory tender offer will be carried out in compliance with applicable regulations, including regulations of the
capital markets sector.
