Uraian Informasi atau Fakta Material Perubahan susunan anggota Dewan Komisaris Perseroan.
Pada tanggal 25 Maret 2025 (Tanggal Penyelesaian), PT
Confectionery Consumer Products Indonesia (PT CCPI) telah
menyelesaikan pengambilalihan 7.690.039.800 (tujuh miliar
enam ratus sembilan puluh juta tiga puluh sembilan ribu
delapan ratus) saham Perseroan oleh PT CCPI dari PT
Sweets Indonesia dan Daniel Budiman melalui pasar
negosiasi di Bursa Efek Indonesia.
Sejak Tanggal Penyelesaian, PT CCPI telah secara efektif
menjadi pengendali Perseroan sebagaimana dimaksud dalam
Peraturan Otoritas Jasa Keuangan Nomor 9/POJK.04/2018
tentang Pengambilalihan Perusahaan Terbuka.
Perubahan susunan anggota Dewan Komisaris Perseroan
Berdasarkan Akta Pernyataan Keputusan Para Pemegang
Saham Perseroan No.100 tanggal 15 November 2024 yang
dibuat di hadapan Yulia, S.H., Notaris di Jakarta Selatan, para
pemegang saham Perseroan telah menyetujui untuk (i)
mengangkat Tuan Benny Lim Jew Fong dan Tuan Aston
Zheng Long sebagai anggota Dewan Komisaris Perseroan
dan (ii) memberhentikan Tuan Imam Liyanto dan Tuan Djonny
Koesoemahardjono sebagai anggota Dewan Komisaris
Perseroan, yang mana berlaku efektif sejak Tanggal
Penyelesaian.
Sehingga susunan Dewan Komisaris Perseroan sejak Tanggal
Penyelesaian adalah sebagai berikut:
Presiden Komisaris : Benny Lim Jew Fong
Komisaris : Aston Zheng Long
Komisaris Independen : Sovia Wirjoprawiro
Dampak kejadian, informasi atau fakta Informasi dan fakta material tersebut di atas tidak
material tersebut terhadap kegiatan menghambat kegiatan operasional , hukum, kondisi keuangan
operasional, hukum, kondisi keuangan, atau kelangsungan usaha Perseroan dan tidak akan
atau kelangsungan usaha Emiten atau mengurangi hak-hak pemegang saham Perseroan.

Description of Material Information or Change in the composition of the Company's Board of
Facts Commissioners members
On 25 March 2025 (Completion Date), PT Confectionery
Consumer Products Indonesia (PT CCPI) has completed the
acquisition of 7,690,039,800 (seven billion six hundred ninety
million thirty nine thousand eight hundred) shares of the
Company by PT CCPI from PT Sweets Indonesia and Daniel
Budiman through the negotiated market on the Indonesian
Stock Exchange.
Since the Completion Date, PT CCPI has effectively become
the controller of the Company as referred to in the Financial
Services Authority Regulation Number 9/POJK.04/2018 on the
Acquisition of Public Companies.
Based on the Deed of Restatement of Shareholders
Resolutions no.100 dated 15 November 2024, made before
Yulia, S.H., Notary in South Jakarta, the shareholders of the
Company have approved to (i) appoint Mr. Benny Lim Jew
Fong and Mr. Aston Zheng Long as members of the
Company's Board of Commissioners and (ii) dismiss Mr. Imam
Liyanto and Mr. Djonny Koesoemahardjono as members of the
Company's Board of Commissioners, which is effective from
the Completion Date.
Therefore, the composition of the Company's Board of
Commissioners from the Completion Date is as follows:
