Bahwa, sehubungan dengan semakin meningkatnya kebutuhan praktik Considering Good Corporate Governance oleh Perbankan: Whereas, in connection with the increasing need for Good Corporate Governance practices by Banking, 2. Bahwa, dalam rangka antisipasi pertumbuhan organisasi, serta untuk mengidentifikasi hal-hal yang memerlukan perhatian Dewan Komisaris terhadap praktik Good Corporate Governance, kinerja Bank dan melindungi kepentingan stake holders, dalam melaksanakan tugas pengawasan terhadap perseroan, serta untuk memastikan bahwa sistem atau kebijakan Remunerasi dan Nominasi Perseroan telah disusun dan dilaksanakan berdasarkan azas keadilan dan transparansi, Whereas, in order to anticipate the growth of the organization, as well as to identify matters that reguire the attention of the Board of Commissioners regarding Good Corporate Governance practices, the Bank's performance and protecting the interests of stake holders, in carrying out supervisory duties over the company, and to ensure that the Companys Remuneration and Nomination system or policy has been prepared and implemented based on the principles of fairness and transparency, 3. Bahwa, dalam rangka memastikan peran Dewan Komisaris dapat berjalan sesuai dengan fungsinya dan efektif, maka perlu ditetapkan susunan komposisi keanggotaan Komite dibawah Dewan Komisaris, Whereas, in order to ensure that the role of the Board of Commissioners can be carried out according to its function and effectively, it is necessary to determine the composition of the membership of the Committees under the Board of Commissioners, Mengingat 1 1. Dengan diberlakukannya Surat Keputusan ini, maka Surat Keputusan Direksi PT Bank Woori Saudara Indonesia 1906, Tbk Tentang Perubahan Keanggotaan dibawah Dewan Komisaris Nomor 030/KEP.DIR/HC.I/VI/2024, dicabut dan dinyatakan tidak berlaku, With the enactment of this Decree, the Decree of the Board of Directors of PT Bank Woori Saudara Indonesia 1906, Tbk regarding Changes in Membership under the Board of Commissioners Number: 030/KEP.DIR/HC.I/V1/2024, is revoked and declared invalid: 5. Keputusan ini berlaku terhitung sejak tanggal 26 Maret 2025 sampai dengan diselenggarannya Rapat Umum Pemegang Saham Tahunan berikutnya tahun 2026, This decision is effective from March 26, 2025 until the next Annual General Meeting of Shareholders is held in 2026, 6. Apabila dikemudian hari terdapat kekeliruan dan atau hal-hal yang bertentangan dengan Surat Keputusan ini, maka akan dilakukan perbaikan dengan Surat Keputusan Direksi selanjutnya.
