Dalam rangka memenuhi ketentuan
sebagaimana dimaksud dalam:

(“POJK”) Nomor 31/POJK.04/2015 tentang
Keterbukaan atas Informasi atau Fakta
Material oleh Emiten atau Perusahaan
Publik, dan

2. Peraturan PT Bursa Efek Indonesia Nomor
-E tentang Kewajiban Penyampaian
Informasi.

Bahwa berdasarkan Akta Nomor 24 tanggal 30
Desember 2024 di hadapan Notaris Ni Putu
Nena BP Rachmadi, S.H., M.Kn., PT Teknologi
Karya Digital Nusa Tbk (selanjutnya disebut
“Perseroan”) telah membeli saham sebanyak
309 lembar saham di PT Dewata Orbit Raya (“PT
DOR”) melalui investasi sebesar
Rp16.686.000.000 (enam belas miliar enam
ratus delapan puluh enam juta Rupiah) pada PT
DOR, yang karena investasi tersebut Perseroan
akan memperoleh sebesar 5076 (lima puluh)
persen kepemilikan atas saham pada PT DOR.

Atas pembelian saham tersebut, tidak
berdampak terhadap kegiatan operasional,
hukum, atau kelangsungan usaha Perseroan.
Selanjutnya dari sisi kondisi keuangan, menurut
Perseroan, pembelian saham tersebut tidak
mengganggu cash flow Perseroan karena nilai

concerning Disclosure of Information or
Material Facts by Issuers or Public
Companies, and

2. Regulation of the Indonesia Stock
Exchange Number I-E conceming the
Obligation to Submit Information.

That on the date based on Deed Number 24
dated December 30, 2024 in the presence of
Notary Ni Putu Nena BP Rachmadi, S.H., M.Kn.,
PT Teknologi Karya Digital Nusa Tbk (hereinafter
referred to as the "Company") has purchased
309 shares in PT Dewata Orbit Raya ("PT DOR")
through an investment of Rp16,686,000,000
(Sixteen billion six hundred and eighty-six million
Rupiah) in PT DOR, due to which the Company
will obtain 509 (fifty) percent ownership of
shares in PT DOR.

The purchase of shares will not have an impact
on the Company's operational, legal, or business
continuity activities. Furthermore, in terms of
financial condition, according to the Company,
the purchase of shares does not interfere with the
Company's cash flow because the investment
