melalui website Perseroan dan website Bursa Efek
Indonesia pada tanggal 25 Mei 2026 ("Keterbukaan
Informasi”).

Berdasarkan Keterbukaan Informasi, kami telah
menjelaskan bahwa Perseroan dengan Pembeli telah
menandatangani Perjanjian Pengalihan Portofolio
Bersyarat ("CPTA"). Penyelesaian — pengalihan
Portofolio Pinjaman berdasarkan CPTA akan
bergantung pada pemenuhan persyaratan-
persyaratan pendahuluan yang wajib dipenuhi oleh
masing-masing Perseroan dan Pembeli berdasarkan
CPTA.

Bahwa seluruh persyaratan pendahuluan terkait CPTA
telah terpenuhi. Oleh karena itu, pada tanggal 29 Juni
2026, Perseroan dan Pembeli menyelesaikan transaksi
pengalihan Portofolio Pinjaman berdasarkan CPTA
dengan menandatangani akta pengalihan (cessie) di
hadapan notaris untuk melaksanakan pengalihan
Portofolio Pinjaman dan Pembeli telah membayar
kepada Perseroan harga pembelian Portofolio
Pinjaman.

We refer to the Disclosure of Information to
Shareholders regarding the Material Transaction of PT
Bank SMBC Indonesia Tbk, which was announced
through the Company's website and the Indonesia Stock
Exchange's website on 25 May 2026 (“Disclosure of
Information”).

Based on the Disclosure of Information, we have
explained that the Company and the Purchaser had

entered into a Conditional Portfolio Transfer Agreement
(“CPTA"). The completion of the transfer of the Loan
Portfolio under the CPTA was subject to the fulfillment
of the condition's precedent reguired to be satisfied by
each of the Company and the Purchaser under the
CPTA.

That all conditions precedent under the CPTA have been
fulfilled. Accordingly, on 29 June 2026, the Company
and the Purchaser completed the transaction for the
transfer of the Loan Portfolio under the CPTA by signing
a deed of assignment (cessie) before a notary to carry
out the transfer of the Loan Portfolio and the Purchaser
has paid the purchase price of the Loan Portfolio to the

Company.
