Description of Material Information or Facts atau sebesar 60,00% (enam puluh persen) dari
seluruh saham yang telah dikeluarkan dan disetor
penuh Perseroan melalui mekanisme inbreng yang
dilaksanakan oleh Negara Republik Indonesia kepada
PT Biro Klasifikasi Indonesia (Persero) sebagaimana
Akta Penyertaan Saham Dengan Pemasukan Dalam
Perseroan Terbatas No. 121 tanggal 22 Maret 2025
yang dibuat di hadapan Jose Dima Satria S.H, M.Kn,
Notaris di Jakarta Selatan dan Surat Menteri BUMN
No. S-228/MBU/03/2025 tanggal 22 Maret 2025
tentang Pemberitahuan Penandatanganan Perjanjian
Pengalihan Hak atas Saham Negara Republik
Indonesia pada PT Bank Tabungan Negara (Persero)
Tbk dalam Rangka Penambahan Penyertaan Modal

b. Pengalihan saham butir a di atas merupakan tindak
lanjut dari Undang-Undang Nomor 19 Tahun 2003
tentang Badan Usaha Milik Negara sebagaimana telah
beberapa kali diubah terakhir dengan Undang-Undang
Nomor 1 Tahun 2025 (“UU BUMN”) dan Peraturan
Pemerintah Nomor 15 Tahun 2025 tanggal 22 Maret
2025 tentang Penambahan Penyertaan Modal Negara
RI ke dalam Modal Saham Perusahaan (Persero) PT
Biro Klasifikasi Indonesia untuk Pendirian Holding
Operasional.
c. Sehubungan dengan hal tersebut, maka susunan
kepemilikan saham Perseroan per tanggal 24 Maret
2025 sebagaimana Surat Keterangan PT Datindo
Entrycom, Biro Administrasi Efek Perseroan,
terlampir./
a. Transfer of ownership of 8,420,666,647 Series B
Shares or 60.00% (sixty percent) of all shares that
have been issued and fully paid up by the Company
through an inbreng mecanism implemented by the
Republic of Indonesia to PT Biro Klasifikasi Indonesia
(Persero) as stated in the Deed of Share Participation
with Intake in Limited Liability Company No. 121 dated
March 22nd, 2025 made before Jose Dima Satria S.H,
M.Kn, Notary in South Jakarta, and the Minister of
State-Owned Enterprises Letter No. S-
228/MBU/03/2025 dated March 22nd, 2025, regarding
the Notification of the Signing of the Agreement for the
Transfer of Rights over the Republic of Indonesia’s
Shares in PT Bank Tabungan Negara (Persero) Tbk in
the Context of Additional State Capital Participation in
PT Biro Klasifikasi Indonesia (Persero).
b. The transfer of shares in point a above is a follow-up
to Law Number 19 of 2003 concerning State-Owned
Enterprises as amended several times, most recently
by Law Number 1 of 2025 (SOE Law) and Government
Regulation Number 15 of 2025 dated March 22, 2025
concerning the Addition of State Capital Participation
of the Republic of Indonesia into the Share Capital of
the Company (Persero) PT Biro Klasifikasi Indonesia
for the Establishment of an Operational Holding.
c. In connection with the above, the composition of the
Company's share ownership as of March 24th, 2025 as
stated in the Statement Letter of PT Datindo Entrycom,

the Company's Securities Administration Bureau, is
attached.
4 Dampak kejadian Informasi atau Fakta Atas pengalihan saham tersebut, Negara Republik
Material/ Indonesia tetap sebagai pengendali Perseroan (Ultimate
Impact of the Incident of Material Beneficial Owner) melalui kepemilikan langsung 1 lembar
Information or Facts saham Seri A Dwiwarna serta tidak mengubah status
Perseroan sebagai Badan Usaha Milik Negara./
Over the transfer of shares, the Republic of Indonesia
remains the controller of the Company (Ultimate Beneficial
Owner) through direct ownership of 1 Series A Dwiwarna
share and does not change the Company's status as a
State-Owned Enterprise.
5 Keterangan lain-lain/ PT Biro Klasifikasi Indonesia (Persero) merupakan
Other Information Perusahaan Induk Operasional (Holding Operasional)
sebagaimana diatur dalam UU BUMN yang seluruh
sahamnya dimiliki oleh Negara RI./
PT Biro Klasifikasi Indonesia (Persero) is an Operational
Holding Company (Operational Holding) as regulated in
SOE Law, all of whose shares are owned by the Republic
Indonesia.
