Uraian lnformasi atau Fakta Material
Untuk menarik dan mempertahankan talenta,
Description of Material Information or Facts meningkatkan motivasi dan movas1 karyawan,
Pemegang Sabam Pengendali pengendali, PT Nev
Stored Energy (NSE) dan Pemegang Saham Utama,
PT Longping Investasi Indonesia (Lil) membuat
rencana pemberian insentif sabam kepada Manajemen
dan karyawan Perseroan.
Sabam yang digunakan dalam program insentif ini
berasal dari pembelian melalui pasar sekunder atau
hibah langsung oleb NSE dan LIT. Dana pembelian
berasal dari 20% laba yang seharusnya diterima oleh
NSE dan LIi dalam periode berjalan.
1 . Indikator Kinerja
Jika Perseroan mencapai atau melampaui target
dibawah ini, maka insentif saham akan diberikan.
Target kinerja tahunan Perseroan adalah sebagai
berikut:
2025: Pendapatan bisnis utama dan anak
Perusahaan Rp 400 miliar, laba bersih Rp 40
miliar.
2026: Pendapatan bisnis anak Perusahaan Rp 600
miliar, laba bersih Rp 60 miliar.
2027: Pendapatan bisnis anak Perusahaan Rp 1
triliun, laba bersih Rp 100 miliar.

2. Kriteria clan Koefisien Insentif Saham
lnsentif saham akan diberikan kepada:
Dewan Direksi, Komisaris, Manajemen Senior,
Direktur anak perusahaan, dan pimpinan unit bisnis
utama -. Koefisien: 1,2
Kepala Departemen Perusahaan, Direksi anak
perusahaan -. Koefisien: 1,0
Wakil Kepala Departemen Perusahaan, Kepala
Departemen anak perusahaan, tenaga ahli teknis, dan
Manajer-. Koefisien: 0,8
3. Jumlah Saham lnsentif
Jumlah saham yang diberikan setiap periode akan
ditentukan berdasarkan laba bersih kinerja tahunan dan
harga saham pada saat itu.
To attract and retain talents, increase employee
motivation and innovation, the Controlling
Shareholder, PT Nev Stored Energy (NS£) and
the Major Shareholder, PT longping Jnvestasi
Indonesia (LIi) have made a plan to provide stock
incentives to the Company's Management and
employees.
The shares used in this incentive program come
from purchases through the secondary market or
direct grants by NS£ and LIi. The purchase funds
come from 20% of the profits that should be
received by NS£ dan Lil in the current period.
1. Performance Indicators
If the Company achieves or exceeds the targets
below, then stock incentives will be given. The
Company's annual performance targets are as

2025: Main business and subsidiary revenues of
!DR 400 billion, net profit of!DR 40 billion.
2026: S11bsidia1y business revenues of IDR 600
billion, net profit of!DR 60 billion.
2027: Subsidiary business revenues of /DR 1
trillion, net profit ofJDR JOO billion.

3. Number ofIncentive Shares
The number of shares given each period will be
determined based on the annual performance net
profit and the stock price at that time.
