Perseroan yang disusun oleh PT Datindo Entrycom selaku
Biro Administrasi Efek Perseroan per tanggal 24 Maret 2025,
susunan pemegang saham Perseroan telah menjadi
sebagaimana terlampir.
Dampak kejadian, informasi atau fakta Pengalihan kepemilikan 21.705.633.361 Seri B atau sebesar
material tersebut terhadap kegiatan 75,35% (tujuh puluh lima koma tiga lima persen)
operasional, hukum, kondisi keuangan, dari seluruh saham yang telah dikeluarkan dan disetor penuh
atau kelangsungan usaha Emiten atau dalam Perseroan melalui proses inbreng yang
Perusahaan Publik dilaksanakan Negara RI kepada Perusahaan Perseroan
(Persero) PT Biro Klasifikasi Indonesia merupakan
pelaksanaan PP No. 15 Tahun 2025 tanggal 21 Maret 2025
tentang Penambahan Penyertaan Modal Negara RI
ke dalam Modal Saham Perusahaan Perseroan (Persero) PT
Biro Klasifikasi Indonesia untuk Pendirian Holding
Operasional.
Dengan kepemilikan saham Negara RI pada Perusahaan
Perseroan (Persero) PT Biro Klasifikasi Indonesia
sebesar 99,99% dan kepemilikan saham preferen Perseroan
yakni saham Seri A Dwiwarna dalam Perseroan
maka pelaksanaan pengalihan saham tersebut tidak merubah
pengendalian Negara RI pada Perseroan, dimana semula
dilakukan melalui pemilikan langsung menjadi pemilikan tidak
langsung, melalui Perusahaan
Perseroan (Persero) PT Biro Klasifikasi Indonesia.
Transaksi ini tidak berdampak pada operasional, keuangan
dan/atau kelangsungan usaha Perseroan.

Facts PT Datindo Entrycom as the Company's securities
administration bureau as of March 24th 2025, the shareholder
composition become as attached.
Impact of event, material information or Transfer of ownership of 21,705,633,361 Series B Shares or
facts towards Issuers or Public representing 75.35% (seventy-five point three five percent) of
Company’s operational activities, legal, all shares issued and fully paid by the Company owned
financial condition, or going concern through an inbreng process as a capital contribution from the
Republic of Indonesia to State-Owned Company (Persero) PT
Biro Klasifikasi Indonesia as reffered to in Government
Regulation No. 15 of 2025 dated March 21th 2025 concerning
Addition of State Capital Participation from the Republic of
Indonesia into the share capital of the State-Owned Company
(Persero) PT Biro Klasifikasi Indonesia for the establishment of
an Operational Holding.
With the Republic of Indonesia ownership of 99.99% of the
shares in the State-Owned Enterprise (Persero) PT Biro
Klasifikasi Indonesia, as well as the ownership of the
companys preferred shares, namely Series A Dwiwarna
shares, the implementation of the share transfer does not alter
the Republic of Indonesia control over the company. Originally,
control was exercised through direct ownership, and after the
transfer, control will be exercised through indirect ownership,
via the State-Owned Enterprise (Persero) PT Biro Klasifikasi
Indonesia.
This Transaction does not have any impact to the operational
activities, legal, financial conditions or the business
sustainability of the Company.
