Uraian Informasi atau Fakta Material Guna memenuhi ketentuan Pasal 6 ayat 2 Peraturan Otoritas
Jasa Keuangan Nomor 42/POJK.04/2020 tentang Transaksi
Afiliasi dan Transaksi Benturan kepentingan, PT Summarecon
Agung Tbk, berkedudukan di Jakarta Timur (Perseroan),
dengan ini melaporkan transaksi sebagai berikut:
- Berdasarkan Perjanjian Pinjaman tanggal 19 Maret
2025, dibuat di bawah tangan, oleh dan antara PT Layar
Sukses Investama (LYSI) (perusahaan terkendali Perseroan)
dengan PT Inspira Citra Asia (ICA) (perusahaan terafiliasi,
dimana Herman Nagaria selaku Direktur Perseroan juga
menjabat sebagai Komisaris di ICA) (Perjanjian), diatur pada
pokoknya kesepakatan antara LYSI dan ICA sebagai berikut:
a. LYSI dan ICA sepakat mengenai pemberian pinjaman
dana oleh LYSI kepada ICA dengan jumlah sebesar Rp2.
250.000.000,00 (dua miliar dua ratus lima puluh juta Rupiah)
(Pinjaman).
b. Pinjaman akan digunakan oleh ICA khusus untuk
produksi suatu film yang akan dilakukan oleh ICA (dengan
Kode Proyek : TAKIS).
c. Perjanjian berlaku untuk jangka waktu 12 (dua belas)
bulan terhitung sejak Pinjaman diterima oleh ICA, yaitu
selambat-lambatnya terhitung sejak tanggal 25 Maret 2025.
d. Pinjaman akan dikenakan bunga sebesar 1% (satu
persen) per bulan yang dihitung dari besarnya pokok

Description of Material Information or In order to fulfil the provisions of Article 6 paragraph 2 of the
Facts Financial Services Authority Regulation Number 42/POJK.
04/2020 concerning Affiliated Transactions and Conflict of
Interest Transactions, PT Summarecon Agung Tbk, domiciled
in East Jakarta (the Company), hereby reports the following
transactions:
- Pursuant to the Loan Agreement dated 19 March 2025, made
under the hand, by and between PT Layar Sukses Investama
(LYSI) (a controlled company of the Company) and PT Inspira
Citra Asia (ICA) (an affiliated company, where Herman Nagaria
as a Director of the Company also serves as a Commissioner
in ICA) (the Agreement), set out in principle the agreement
between LYSI and ICA as follows:
a. LYSI and ICA agreed on the provision of loan funds
by LYSI to ICA in the amount of Rp2,250,000,000.00 (two
billion two hundred fifty million Rupiah) (Loan).
b. The Loan will be used by ICA specifically for the
production of a film to be undertaken by ICA (with Project
Code: TAKIS).
c. The Agreement shall be valid for a period of 12
(twelve) months commencing from the date the Loan is
received by ICA, i.e. no later than 25 March 2025.
d. The Loan shall bear interest at the rate of 1% (one
per cent) per month calculated on the principal amount of the
Loan.
