sebagai Para Penjual) oleh PT Ciliandra Perkasa (Pembeli)
Uraian Informasi atau Fakta Material Perusahaan menerima pemberitahuan tertulis dari Pembeli
pada tanggal 18 Maret 2025 (Pemberitahuan) sehubungan
dengan rencana pengambilalihan sekitar 91,17% dari seluruh
saham yang ditempatkan dan disetor penuh pada Perusahaan
yang dimiliki oleh Para Penjual. Para Penjual dan Pembeli
telah menandatangani Perjanjian Jual Beli Saham Bersyarat
pada tanggal 18 Maret 2025 (Rencana Pengambilalihan).
Rencana Pengambilalihan ini tunduk pada Peraturan Otoritas
Jasa Keuangan No. 9/POJK.04/2018 (POJK 9/2018).
Sebagaimana disampaikan dalam Pemberitahuan, tujuan
Pembeli melakukan Rencana Pengambilalihan adalah untuk
memperluas perkebunan kelapa sawit dan meningkatkan
ketersediaan bahan baku untuk mendukung operasi hilir yang
semakin berkembang.
Dampak kejadian, informasi atau fakta Informasi dan fakta material tersebut tidak akan berdampak
material tersebut terhadap kegiatan signifikan terhadap kegiatan operasional, hukum, kondisi

baru Perusahaan, Pembeli akan melaksanakan penawaran tender wajib sesuai dengan ketentuan dalam POJK No.
9/2018. Pelaksanaan Rencana Pengambilalihan maupun penawaran tender wajib akan dilakukan dengan
memperhatikan ketentuan yang berlaku, termasuk ketentuan di bidang pasar modal.

The proposed acquisition of the Company's shares owned by

Tahija (GST) (hereinafter collectively referred to as the Sellers)
by PT Ciliandra Perkasa (the Purchaser)
Description of Material Information or The Company received written notification on 18 March 2025
Facts (Notification) from the Purchaser regarding the plan to acquire
approximately 91.17% of all issued and fully paid-up shares in
the Company owned by the Sellers. The Sellers and the
Purchaser have entered into a Conditional Share Purchase
Agreement on 18 March 2025. The proposed acquisition is
subject to Financial Services Authority Regulation No.
9/POJK.04/2018 (POJK 9/2018).
As stated in the Notification, the purpose of the Purchaser
carries out the proposed acquisition is to upstream oil palm
plantation footprint and enhance feedstock availability for its
growing downstream operation.

The implementation of the Proposed Acquisition and the mandatory tender offer will be carried out in compliance
with applicable regulations, including regulations of the capital markets sector.
