berkedudukan di Kota Tangerang, yang
bergerak di bidang industri perekat/lem
(selanjutnya disebut “Transaksi”).

Uraian Informasi atau Fakta Material:

Objek Transaksi:
Pada tanggal 13 Maret 2025, Perseroan

melakukan penyertaan modal saham
sebesar 16,676 di Dextone melalui
penerbitan saham baru Dextone yang
diambil oleh Perseroan, sebagaimana
tertuang dalam Akta Pernyataan
Keputusan Pemegang Saham Dextone
No. 70 tertanggal 13 Maret 2025, dibuat
di hadapan Doktor Buntario Tigris
Darmawa NG, Sarjana Hukum, Sarjana
Ekonomi, Magister Hukum, Notaris di
Jakarta Pusat, sehingga susunan
pemegang saham Dextone dan komposisi
kepemilikan saham Dextone menjadi
sebagai berikut:

The Company invests in 16.6746 of the
share capital of PT Dextone Lemindo
(“Dextone”), a limited liability company
established under the laws of the Republic
of Indonesia, domiciled in Tangerang
City, which is engaged in the
adhesive/glue — industry — (hereinafter
referred to as the “Transaction”).

Information:

Transaction Object:

On March 13, 2025, the Company made
an investment in 16.6746 of the share
capital of Dextone, through issuance of
Dextone's new shares subscribed by the
Company, as set forth in the Deed of
Statement of Shareholders' Resolution of
Dextone No. 70 dated March 13, 2025,
made before Doktor Buntario Tigris
Darmawa NG, Bachelor of Laws,
Bachelor of Economics, Master of Laws,,
Notary in Central Jakarta, so that the
composition of Dextone's shareholders
and the composition of share ownership
in Dextone, become as follows:

Dextone oleh Perseroan ini bertujuan
untuk pengembangan kegiatan usaha dan
portfolio produk Perseroan di sektor
industri perekat/lem, dimana dengan
penyertaan saham di Dextone tersebut,
Perseroan juga memiliki posisi strategis,
melalui entitas anak Perseroan (PT
Tirtakencana Tatawarna) untuk
mendistribusikan produk-produk
Dextone.
4. Pernyataan Direksi dan Dewan
Komisaris:
Direksi dan Dewan Komisaris Perseroan
menyatakan bertanggung jawab atas
kelengkapan informasi sebagaimana
diungkapkan dalam laporan ini dan
menegaskan kebenarannya setelah
melakukan penelitian secara seksama.
Tidak ada fakta penting material dan
relevan yang tidak diungkapkan atau
dihilangkan dalam laporan ini, sehingga
menyebabkan informasi yang diberikan
menyesatkan.

5. Keterangan lain-lain:

a. Transaksi ini bukan merupakan
transaksi afiliasi sebagaimana diatur
dalam — Peraturan OJK No.
42/POJK.04/2020 tentang Transaksi
Afiliasi dan Benturan Kepentingan.
Transaksi ini juga bukan merupakan
transaksi yang mengandung benturan
kepentingan sebagaimana diatur
dalam Peraturan tersebut.

b. Transaksi ini juga bukan termasuk
dalam transaksi material sebagaimana
dimaksud dalam Peraturan OJK No.
17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan
Usaha, dikarenakan nilai Transaksi
tersebut kurang dari 20Y6 dari ekuitas

in OJK Regulation No.

Affiliated Transactions and Conflict
of Interest Transactions. Nor does
this  transaction — constitute — a
transaction that contains a conflict of
interest as stipulated in — the
Regulation.

b. This transaction also does not
constitute a material transaction as
referred to in OJK Regulation No.
17/POJK.04/2020 concerning
Material Transactions and Changes
in Business Activities, since the value
of the Transaction is less than 2046 of
