Direksi dan Dewan Komisaris Emiten atau
Perusahaan — Publik — (“POJK 33/2014”),
(ii) Peraturan Otoritas Jasa Keuangan Nomor
45 Tahun 2024 Tentang Pengembangan dan
Penguatan Emiten dan Perusahaan Publik,
(iii) Peraturan Otoritas Jasa Keuangan Nomor
31/POJK.04/2015 tentang Keterbukaan atas
Informasi atau Fakta Material oleh Emiten atau
Perusahaan Publik, dan (iv) Keputusan Direksi
PT Bursa Efek Indonesia Nomor
Kep-00066/BEI/09-2022 tentang Perubahan
Peraturan Nomor I-E tentang Kewajiban
Penyampaian Informasi, Direksi Perseroan
dengan ini menyampaikan keterbukaan informasi
atas informasi atau fakta material (“Keterbukaan
Informasi”) sebagai berikut:

Pada tanggal 7 Maret 2025, Perseroan telah
menerima surat pemberitahuan pengunduran diri
Bapak Prof. Bambang Permadi Soemantri
Brodjonegoro S.E., M.U.P., Ph.D, dari jabatannya
selaku Komisaris Independen Perseroan.
Pengunduran diri tersebut akan efektif pada
tanggal 31 Maret 2025. Pengunduran diri ini
sehubungan dengan penunjukan / pelantikan
Bapak Prof. Bambang Permadi Soemantri
Brodjonegoro S.E., M.U.P., Ph.D sebagai Dekan
Asian Development Bank Institute (ADBI).

Perseroan selanjutnya akan memenuhi dan
menjalankan ketentuan yang diatur dalam
Anggaran Dasar Perseroan, POJK 33/2014, dan
POJK Nomor 15/POJK.04/2020 tentang Rencana
dan Penyelenggaraan Rapat Umum Pemegang
Saham perusahaan Terbuka, untuk pelaksanaan
Rapat Umum Pemegang Saham.

the Board of Directors and Board of
Commissioners of Issuer or Public Company
(“POJK 33/2012”), (ii) POJK Number 45 Tahun
2024 on Development and Strengthening of
Issuers and Public Companies, (ii) POJK Number
31/POJK.04/2015 on Disclosure of Material
Information or Facts by Issuer or Public Company,
and (iv) the Decree of the Board of Directors of the
Indonesia Stock Exchange Number:
Kep-00066/IDX/09-2022 on the Amendments to
Regulation Number I-£ conceming Information
Submission Obligations, the Board of Directors of
the Company hereby convey a disclosure of
information on information or material fact
(“Disclosure of Information”) as follows:

On March 7, 2025, the Company has received a
letter of resignation from Mr. Prof. Bambang
Permadi Soemantri Brodjonegoro S.E., M.U.P.,
Ph.D, from his position as Independent
Commissioner of the Company. The resignation
will be effective as of March 31, 2025. This
resignation is related to the appointment of
Mr. Prof. Bambang Permadi Soemantri
Brodjonegoro S.E., M.U.P., Ph.D, as the Dean of
the Asian Development Bank (ADB) Institute.

The Company will duly comply and implement the
provisions stipulated in the Company's Articles of

Association,  POJK 33/2014, and  POJK
No.15/POJK.04/2020 conceming the Planning and
Implementation of General Meetings of

Shareholders of Public Companies to hold a
General Meeting of Shareholders.

Dampak kejadian, informasi atau
fakta material tersebut terhadap
kegiatan operasional, — hukum,
kondisi keuangan, atau
kelangsungan usaha Emiten atau
Perusahaan Publik

Impact of such events, information
or material fact on the operational
activities, law, financial condition, or
business continuity of the Company.

Kejadian, informasi atau fakta material tersebut
tidak berdampak secara negatif terhadap kegiatan
operasional, hukum, kondisi keuangan, atau
kelangsungan usaha Emiten atau Perusahaan
Publik.

The aforementioned impact of such events,
information or material fact do not have negative
impact on the operational activities, law, financial
condition, or business continuity of the Company.
