3. | Uraian Informasi Pada tanggal 21 November 2024, Perseroan telah

Bersyarat antara Perseroan dan PT Cipta Krida Bahari
(“CKB”) (“PPJB”) atas rencana penjualan seluruh saham
milik Perseroan di anak perusahaan, yaitu PT Sarana
Citranusa Kabil (“SEN”) dan PT Citra Pembina
Pengangkutan Industries (“GPPI”), dengan rincian sebagai
berikut:

a. SCN, sebuah perusahaan yang menjalankan kegiatan
Usaha di aktivitas pelayanan kepelabuhanan laut dan
kegiatan terkait lainnya. Dengan penandatanganan PPJB
ini, tunduk pada syarat dan ketentuan dalam PPJB ini,
Perseroan berencana mengalihkan seluruh saham yang
dimilikinya dalam SCN kepada CKB atau afiliasinya.
CKB merupakan entitas anak dari PT ABM Investama Tbk
dengan kepemilikan 100Y6, dan

b. CPPI, sebuah perusahaan yang menjalankan kegiatan
Usaha di jasa pengurusan transportasi dan kegiatan
terkait lainnya. Dengan penandatanganan PPIB ini,
tunduk pada syarat dan ketentuan dalam PPJB ini,
Perseroan berencana mengalihkan seluruh saham yang
dimilikinya dalam CPPI kepada CKB atau afiliasinya.
CKB merupakan entitas anak dari PT ABM Investama Tbk
dengan kepemilikan 10096.

Setelah berdiskusi dan mempertimbangkan kembali
rencana penjualan seluruh saham milik Perseroan di SCN
dan CPPI, Perseroan dan CKB sepakat untuk tidak
melanjutkan rencana transaksi dan karenanya mengakhiri
PPJB SCN dan CPPI tanggal 21 November 2024.
(“Pengakhiran PPJB”).

On 21 November 2024, the Company has signed a
Conditional Sale and Purchase of Shares Agreement
between the Company and PT Cipta Krida Bahari (“CKB”)
(“CSPA”) for the proposed sale of all the Company's shares
In its subsidiaries, namely PT Sarana Citranusa Kabil(“SCN”)
and PT Citra Pembina Pengangkutan Industries (“GPPP),
with the following details:

a. SCN, a company engaged in port services and related
activities. By executing this CSPA, subject to the terms
and conditions in this CSPA, the Company will transfer
all of its Shares in SCN to CKB or its affiliate. CKB is a
subsidiary of PT ABM Investama Tbk with 10096
ownership, and

b. CPPI, a company engaged in freight forwarding services
and related activities. By executing this CSPA, subject to
the terms and conditions in this CSPA, the Company will
Iransferall ofits shares in CPPI to CKB or'its affiliate. CKB
is a subsidiary of PT ABM Investama Tbk With 1004
ownership.

After further discussions and reconsideration of the plan to
sell all of the Company's shares in SCN and CPPI, the
Company and CKB have agreed not to proceed with the
proposed transaction and, therefore, to terminate the CSPA
of SCN and CPPI dated November 21, 2024 (“CSPA
Termination”).

4. | Dampak kejadian, informasi atau fakta material
tersebut terhadap kegiatan operasional, hukum,
kondisi keuangan, atau kelangsungan usaha
Perseroan.

The impact of the event, material information orfact
on the Company's operational activities, legal
matters, financial condition, or business continuity.

Tidak terdapat adanya dampak material yang ditimbulkan
terhadap kegiatan operasional, hukum, kondisi keuangan,
atau kelangsungan usaha Perseroan sebagai akibat
Pengakhiran PPJB tersebut.

There are no any material impacts on Company/'s operational
activities, legal matters, financial condition, or business
continuityas a result of the CSPA Termination.
