Description of Material Information or Facts

1. Pada hari Rabu, 26 Februari 2025, Perseroan
telah menandatangani Nota Kesepahaman
(MoU) dengan PT Neopower Teknologi
Indonesia (NTI) untuk menjajaki pembelian
saham NTI di PT Gotion Indonesia Materials
(GIM). Dalam MoU tersebut NTI berencana
untuk menjual 189.000 (seratus delapan puluh
sembilan ribu) saham NTI atau sekitar 4546
(empat puluh lima persen) saham
kepemilikan yang ada di GIM.

Latar belakang pembelian saham GIM yang
dimiliki oleh NTI karena GIM memiliki Izin
Usaha Pertambangan (IUP) nikel dan gedung
perkantoran. Bila berjalan dengan lancar
maka Perseroan akan memiliki 4596 saham di
GIM.

Tujuan pengambilan 45Y6 saham ini adalah
untuk pengembangan aktivitas Perseroan
yang harapannya akan meningkatkan
profitabilits — Perseroan, — memperlebar
aktivitas dari hulu sampai hilir pada industri
EBT. Perseroan juga akan bekerja sama
dengan beberapa profesi penunjang untuk
mengkaji dan melaksanakan proses

pembelian saham ini sesuai dengan
mekanisme pasar modal.

2. Adapun untuk kebutuhan pengembangan
bisnis, perusahaan akan membentuk empat
divisi:

A. Divisi Material bahan mentah
Baterai, bertanggung jawab atas
tambang nikel, kawasan industri,
serta perdagangan material baterai.

B. Divisi Produk Baterai,
bertanggung jawab atas baterai
pack, produk penyimpanan energi,
cetakan dan produk energi baru.

C. Divisi Aplikasi Baterai,
bertanggung jawab atas aplikasi
dan layanan baterai untuk sepeda
motor listrik, kendaraan
komersial, kapal, pesawat terbang,
serta rantai pasokan produk
terkait.

D. Divisi Investasi Proyek,
bertanggung jawab atas proyek
investasi dalam pembangkit listrik
tenaga surya dengan sistem
penyimpanan energi, ev truck
yang dipakai di pertambangan dan
kawasan industri, EV bus di
perkotaan, dan EV minibus.

1. On Wednesday, February 26, 2025, the
Company signed a Memorandum of
Understanding (MoU) with PT Neopower
Teknologi Indonesia (NTI) to explore the
purchase of NTI shares in PT Gotion
Indonesia Materials (GIM). In the MoU,
NTI plans to sell 189,000 (one hundred
and eighty-nine thousand) NTI shares or
around 4546 (forty-five percent) of the
ownership shares in GIM.

The background to the purchase of GIM
shares owned by NTI is because GIM has
a nickel Mining Business License (IUP)
and an office building. If'it goes smoothly,
the Company will own 4546 of the shares

in GIM.The purpose of taking 4596 of the
shares is to develop the Company's
activities which are expected to increase
the Company's profitability, expand
activities from upstream to downstream in
the EBT industry. The Company will also
collaborate with several supporting
professions to review and implement the
process of purchasing these shares in
accordance with the capital market
mechanism.

2. As for business development needs, the
company will form four divisions:

A. Battery Raw Material Division,
responsible for  nickel — mines,
industrial areas, and battery material
trading.

Battery Product Division, responsible
for battery packs, energy storage
products, molds and new energy
products.

B.

. Battery — Application Division,
responsible for battery applications
and services for electric motorcycles,
commercial vehicles, ships, airplanes,
and related product supply chains.

. Project Investment Division,
responsible for investment projects in
solar power planis with energy
storage systems, EV trucks used in
mining and industrial areas, EV buses
inurban areas, and EV minibuses.

Untuk saat ini rencana tersebut tidak
menimbulkan dampak yang material terhadap
kegiatan operasional, hukum, kondisi keuangan
atau keberlangsungan usaha Perseroan. Dampak
Kejadian, Informasi atau Fakta Material tetap
merujuk pada peraturan dan prosedur yang
berlaku pada saat akan dilakukannya aktivitas
tersebut.

At this time, this plan does not have a material
impact on the Company's operational activities,
law, financial condition or business continuity.
