Uraian Informasi atau Fakta Material Berdasarkan Pernyataan Keputusan Rapat Perubahan
Anggaran Dasar PT Bank Jago Tbk. yang disahkan melalui
Akta Nomor 89 Tanggal 19 Februari 2025, terdapat perubahan
struktur permodalan yang mengakibatkan perubahan Pasal 4
ayat 2 Anggaran Dasar Perseroan. Bukti penerimaan
pemberitahuan perubahan Anggaran Dasar tersebut diterima
oleh Perseroan pada 24 Februari 2025.
Perubahan struktur permodalan tersebut merupakan hasil dari
hasil pelaksanaan Program Management and Employee Stock
Option Plan (MESOP) Tahap I Periode II Tahun 2024 pada 2
Desember 2024 hingga 15 Januari 2025 yang telah dilaporkan
Perseroan tanggal 20 Januari 2025.
Berikut ringkasan sebelum dan sesudah perubahan Anggaran
Dasar Perseroan pada Pasal 4 ayat (2) :
Sebelum
(2) Dari modal dasar tersebut telah ditempatkan dan disetor
sejumlah kurang lebih 34,64% (tiga puluh empat koma enam
empat persen) atau sebanyak 13.856.250.000 (tiga belas
miliar delapan ratus lima puluh enam juta dua ratus lima puluh
ribu) saham dengan nilai nominal seluruhnya sebesar
Rp1.385.625.000.000,00 (satu triliun tiga ratus delapan puluh
lima miliar enam ratus dua puluh lima juta Rupiah);

Dari modal dasar tersebut telah ditempatkan dan disetor
kurang lebih 34,65% (Tiga Puluh Empat Koma Lima Enam
persen) atau sejumlah 13.861.330.900 (tiga belas miliar
delapan ratus enam puluh satu juta tiga ratus tiga puluh ribu
sembilan ratus) saham, dengan nilai nominal seluruhnya
sebesar Rp1.386.133.090.000,00 (satu triliun tiga ratus
delapan puluh enam miliar seratus tiga puluh tiga juta
sembilan puluh ribu Rupiah) oleh para pemegang saham yang
telah mengambil bagian saham dan rincian serta nilai nominal
saham yang disebutkan pada akhir akta.

Description of Material Information or The amendment of the Articles of Association of PT Bank Jago
Facts Tbk., ratified through Deed Number 89 dated February 19,
2025, includes a change in the capital structure, resulting in an
amendment to Article 4, paragraph 2 of the Company's Articles
of Association. Proof of receipt of the notification of the
amendment to the Articles of Association was received by the
Company on February 24, 2025.
The change in the capital structure is the result of the
implementation of the Management and Employee Stock
Option Plan (MESOP) Phase I Period II of 2024, from
December 2, 2024, to January 15, 2025, which had been
reported by the Company on January 20, 2025.
The following is a summary of the Company's Articles of
Association before and after the amendment to Article 4,
paragraph (2):
