Bahwa pada tanggal 28 Agustus 2023
berdasarkan Akta Jual Beli Nomor 131/2003 di
hadapan Notaris Hartojo, S.H., PT Teknologi
Karya Digital Nusa Tbk (selanjutnya disebut
“Perseroan”) telah membeli sebuah tanah berikut
bangunan di atasnya dari pihak Penjual atas
nama Fico Kaiser, yang berlokasi di Jl. Sunter
Muara No. 8A, Kelurahan Sunter Agung,
Kecamatan Tanjung Priok, Kota Administrasi
Jakarta Utara, DKI Jakarta, 14350, dengan nilai
Rp 24.000.000.000 (dua puluh empat miliar
Rupiah) seluas 2.108m? (selanjutnya disebut
“Aset”).
Bahwa atas pembelian Aset tersebut, Perseroan
menyampaikan bahwa hal tersebut tidak
berdampak terhadap kegiatan operasional,
hukum, kondisi keuangan, atau kelangsungan
usaha Emiten atau Perusahaan Publik.
Pembelian Aset tersebut merupakan salah satu

That on August 28, 2023, based on the Sale and
Purchase Deed Number 131/2003 before Notary
Hartojo, S.H., PT Teknologi Karya Digital Nusa
Tbk (hereinafter referred to as the "Company")
has purchased a piece of land and the building
thereon from a Sellingparty in the name of Fico
Kaiser, located at Jl. Sunter Muara No. 8A,
Sunter Agung Village, Tanjung Priok District,
North Jakarta Administrative City, DKI Jakarta,
14350, with a value of Rp 24.000.000.000
(twenty-four billion Rupiah) covering an area of
2.108m2 (hereinafter referred to as "Assets").
The Company conveyed that the purchase of the
Asset did not have an impact on the operational,
legal, financial condition, or business continuity
of the Issuer or Public Company. The purchase

Singkatnya, Pembelian Aset tersebut merupakan realisasi dari rencana Perseroan dalam penggunaan dana hasil penawaran umum sebagaimana telah diputuskan berdasarkan Berita Acara Rapat Umum Pemegang Saham Tahunan Perseroan Nomor 78 Tanggal 21 Juni 2023 yang tercantum dalam Mata Acara Kelima. Transaksi ini bukan merupakan Transaksi Afiliasi dan Transaksi Benturan Kepentingan sebagaimana dimaksud dalam POJK Nomor 42/Pojk.04/2020 Tentang Transaksi Afiliasi Dan Transaksi Benturan Kepentingan, dan bukan merupakan Transaksi Material sebagaimana dimaksud dalam POJK Nomor 17/POJK.04/2020 TAHUN 2020 Tentang Transaksi Material dan Perubahan Kegiatan Usaha. Demikian hal ini Perseroan sampaikan. Apabila terdapat informasi ataupun fakta material lainnya, akan Perseroan sampaikan kepada Otoritas Jasa Keuangan dan Bursa Efek Indonesia. In short, the Asset Purchase is the realization of the Company's plan to use the proceeds of the public Offering as decided based on the Minutes of the Company's Annual General Meeting of Shareholders Number 78 dated June 21, 2023 as stated in the Fifth Agenda. This Transaction is not an Affiliate Transaction and a Conflict of Interest Transaction as referred to in POJK Number 42/POJK.04/2020 concerning Affiliate Transactions and Conflict of Interest Transactions, and is not a Material Transaction as referred to in POJK Number 17/POJK.04/2020 OF 2020 concerning Material Transactions and Changes in Business Activities. This is what the Company conveys. Ifthere is any information or other material facts, the Company will submit it to the Financial Services Authority and the Indonesia Stock Exchange.
