Uraian Informasi atau Fakta Material Merujuk pada Akta Pernyataan Keputusan Pemegang Saham
Perubahan Anggaran Dasar PT Hero Global Investment No.
44 tanggal 13 Agustus 2024, yang dibuat di hadapan Jose
Dima Satria, S.H., M.Kn., Notaris di Kota Administrasi Jakarta
Selatan, para pemegang saham Perseroan telah menyetujui
untuk mendelegasikan dan memberikan kuasa dengan hak
substitusi, baik sebagian atau seluruhnya kepada Dewan
Komisaris Perseroan untuk menentukan dan menyatakan
dalam akta notaris besarnya jumlah penambahan modal
ditempatkan dan disetor Perseroan hasil dari pelaksanaan
pengeluaran atau penerbitan saham baru dalam rangka
Penawaran Umum Perdana Saham Perseroan.
Penawaran Umum Perdana Saham Perseroan telah selesai
pada tanggal 7 Januari 2025, sehingga Dewan Komisaris
Perseroan telah melakukan perubahan Pasal 4 ayat 2
anggaran dasar Perseroan berdasarkan Akta Pernyataan
Keputusan Pemegang Saham Perubahan Anggaran Dasar PT
Hero Global Investment Tbk No. 61 tanggal 16 Januari 2025,
yang dibuat di hadapan Jose Dima Satria, S.H., M.Kn., Notaris
di Kota Administrasi Jakarta Selatan, yang telah diberitahukan
kepada Menteri Hukum Republik Indonesia sebagaimana
tertuang dalam Surat Penerimaan Pemberitahuan Perubahan
Anggaran Dasar No. AHU-AH.01.03-0040249 tanggal 10
Februari 2025.
Ketentuan Pasal 4 ayat 2 anggaran dasar Perseroan menjadi
sebagai berikut:
Dari modal dasar tersebut telah ditempatkan dan disetor
penuh kepada Perseroan kurang lebih sebanyak 54,17% (lima
puluh empat koma satu tujuh persen) atau sejumlah
6.500.000.000 (enam miliar lima ratus juta) saham atau
dengan nilai nominal seluruhnya sebesar
Rp162.500.000.000,00 (seratus enam puluh dua miliar lima
ratus juta Rupiah), oleh para pemegang saham yang telah
mengambil bagian saham dengan rincian serta nilai nominal
saham yang disebutkan sebelum akhir akta.

Description of Material Information or Referring to the Deed of Statement of the Shareholders
Facts Resolution on Amendment to the Articles of Association of PT
Hero Global Investment No. 44 dated 13 August 2024, made
before Jose Dima Satria, S.H., M.Kn., Notary in South Jakarta
Administrative City, the Company's shareholders have agreed
to delegate and grant power of attorney with the right of
substitution, either partially or in whole to the Board of
Commissioners of the Company to determine and state in
notarial deed the amount of the increase of the Companys
issued and paid-up capital as a result of the issuance or
issuance of new shares for the purpose of the Companys
Initial Public Offering.
The Companys Initial Public Offering has been completed on
January 7th, 2025, thus the Companys Board of
Commissioners has amended Article 4 paragraph 2 of the
Companys articles of association based on the Deed of
Statement of the Shareholders Resolution on the Amendment
to the Articles of Association of PT Hero Global Investment
Tbk No. 61 dated 16 January 2025, made before Jose Dima
Satria, S.H., M.Kn., Notary in South Jakarta Administrative
City, which has been notified to the Minister of Law of the
Republic of Indonesia as stated in the Letter of Receipt of
Notification on the Amendment of the Articles of Association
No. AHU-AH.01.03-0040249 dated 10 February 2025.
The provision of Article 4 paragraph 2 of the Companys
articles of association became as follows:
From the authorized capital has been issued and paid-up to
the Company approximately 54.17% (fifty-four point one seven
percent) or a total of 6,500,000,000 (six billion five hundred
million) shares or with a total nominal value of
IDR162,500,000,000.00 (one hundred and sixty-two billion five
hundred million Rupiah), by the shareholders who have
subscribed to the shares with the details and nominal value of
the shares mentioned before the end of the deed.
