Penyelesaian Utang antara PT Darma Henwa Tbk. dengan
PT Antareja Mahada Makmur (AMM)
Uraian Informasi atau Fakta Material Pada tanggal 10 Februari 2025 Perseroan telah
menandatangani Perjanjian Penyelesaian Utang dengan AMM
(Perjanjian Penyelesaian Utang), yang mengatur mengenai
penyelesaian utang Perseroan sebesar Rp296.611.745.000
kepada AMM melalui konversi utang menjadi saham
Perseroan dengan mekanisme Penambahan Modal Tanpa
Hak Memesan Efek Terlebih Dahulu (PMTHMETD).
Dalam Perjanjian Penyelesaian Utang tersebut, Perseroan
akan mengonversi utangnya kepada AMM sebesar
Rp296.611.745.000 menjadi 3.954.823.266 lembar saham
biasa Seri B dengan harga konversi sebesar Rp75 per saham.
AMM tidak memiliki hubungan afiliasi dengan Perseroan.
Dampak kejadian, informasi atau fakta Tidak ada dampak terhadap kegiatan operasional, hukum dan
material tersebut terhadap kegiatan kelangsungan usaha Perseroan.

atau kelangsungan usaha Emiten atau konversi utang menjadi saham atas kewajiban pada AMM

Disclosure of Information on the Signing of the Debt
Type of Material Information or Facts Settlement Agreement between PT Darma Henwa Tbk. and
PT Antareja Mahada Makmur (AMM)
Description of Material Information or On February 10, 2025, the Company has signed a Debt
Facts Settlement Agreement with AMM, which regulates the
settlement of the Company's debt to AMM through the
conversion of debt into the Company's shares with the
mechanism of Capital Increase Without Pre-emptive Rights
(PMTHMETD).
In the Debt Settlement Agreement, the Company will convert
its debt to AMM in the amount of IDR 296,611,745,000 into
3,954,823,266 shares of Series B ordinary shares at a
conversion price of IDR 75 per share.
AMM has no affiliation with the company
Impact of event, material information or There is no impact on the Company's operational, legal and
facts towards Issuers or Public business continuity activities.
Company’s operational activities, legal, The impact on financial condition will only occur after the
financial condition, or going concern conversion of debt into shares for obligations in AMM is
completed through the PMTHMETD mechanism, which will
improve the Company's financial position.
