Februari 2025, telah dilakukan penandatanganan Perjanjian Awal antara PT
Artha Mahiya Investama Tbk (Perseroan) dengan Para Pemegang Saham PT
Kilau Berlian Untuk Dia (KBUD) dengan merek Fourher. Dalam Perjanjian Awal
tersebut, Perseroan dan Para Pemegang Saham KBUD sepakat bahwa
dikemudian hari, Perseroan dapat melakukan investasi melalui penyertaan
kepemilikan saham oleh Perseroan pada KBUD (Rencana Investasi), dimana
detil atas Rencana Investasi tersebut, masih akan dinegosiasikan lebih lanjut
antara para pihak yang kesepakatannya akan ditindaklanjuti melalui
penandatanganan perjanjian definitif.
Dengan ini kami untuk dan atas nama perusahaan menyampaikan Laporan Informasi atau Fakta Material sebagai

pada tanggal 05 Februari 2025, telah dilakukan
penandatanganan Perjanjian Awal antara PT Artha Mahiya
Investama Tbk (Perseroan) dengan Para Pemegang Saham
PT Kilau Berlian Untuk Dia (KBUD) dengan merek Fourher.
Dalam Perjanjian Awal tersebut, Perseroan dan Para
Pemegang Saham KBUD sepakat bahwa dikemudian hari,
Perseroan dapat melakukan investasi melalui penyertaan
kepemilikan saham oleh Perseroan pada KBUD (Rencana
Investasi), dimana detil atas Rencana Investasi tersebut,
masih akan dinegosiasikan lebih lanjut antara para pihak yang
kesepakatannya akan ditindaklanjuti melalui penandatanganan
perjanjian definitif.

Afiliasi dan Transaksi Benturan Kepentingan, tertanggal 2 Juli
2020 (POJK 42/2020).
Hubungan antara Pihak-pihak yang Bertransaksi
Bahwa antara Perseroan dengan Para Pemegang Saham
KBUD maupun KBUD tidak memiliki hubungan Afiliasi.
Nilai Transaksi:
Bahwa nilai transaksi atas Rencana Investasi sebagaimana
dimaksud dalam Perjanjian Awal tersebut belum ditentukan.
Dampak kejadian, informasi atau fakta Penandatanganan Perjanjian Awal ini tidak berdampak negatif
material tersebut terhadap kegiatan terhadap kegiatan usaha, kondisi keuangan Perseroan.
operasional, hukum, kondisi keuangan, Melainkan diharapkan akan meningkatkan pendapatan
atau kelangsungan usaha Emiten atau Perseroan di masa depan apabila Rencana Investasi
Perusahaan Publik terlaksana.

Subject Report of Information or Material Fact. that on February 5, 2025, a Preliminary
Agreement has been signed between PT Artha Mahiya Investama Tbk, the
Company, and the Shareholder PT Kliau Berlian Untuk Dia, KBUD, under the
brand Fourher. In the Preliminary Agreement, the Company and KBUD
Shareholders agreed that in the future, the Company intends to invest in KBUD
through the participation of the Company share ownership in KBUD, the

financial condition, or going concern revenue in the future if the Transaction Plan is implemented.
