Uraian Informasi atau Fakta Material Merujuk kepada Peraturan Otoritas Jasa Keuangan No.
36/POJK.04/2014 tentang Penawaran Umum Berkelanjutan
Efek Bersifat Utang dan/atau Sukuk dan Surat Otoritas Jasa
Keuangan No. S-102/D.04/2022 tertanggal 22 Juni 2022
perihal Pemberitahuan Efektifnya Pernyataan Pendaftaran,
dengan ini PT Sinar Mas Agro Resources and Technology Tbk
(SMART atau Perseroan) menyampaikan publikasi atas
penghentian Penawaran Umum Berkelanjutan Obligasi
Berkelanjutan IV SMART (PUB IV).
Sehubungan dengan PUB IV dengan target penghimpunan
dana sebesar Rp 6.000.000.000.000,- (enam triliun Rupiah),
Perseroan menyampaikan bahwa selama periode PUB IV,
Perseroan telah menerbitkan Obligasi Berkelanjutan IV
SMART Tahap I Tahun 2022 dengan total dana yang berhasil
dihimpun sebesar Rp 1.500.000.000.000,- (satu triliun lima
ratus miliar Rupiah). Dengan demikian, terdapat selisih dana
yang kurang terhimpun sebesar Rp 4.500.000.000.000,-
(empat triliun lima ratus miliar Rupiah).
Ketidaktercapaian target penghimpunan dana tersebut
disebabkan oleh fluktuasi kondisi pasar pada saat itu serta
adanya penyesuaian sumber pendanaan Perseroan.

The termination of SMART Shelf-Registered Bond IV (PUB IV)

Description of Material Information or With reference to the Financial Services Authority Regulation
Facts No. 36/POJK.04/2014 concerning the Shelf Registration of
Debt Securities and/or Sukuk, as well as the Financial
Services Authority Letter No. S-102/D.04/2022 dated June 22,
2022, regarding the Notification of Effectiveness of the
Registration Statement, PT Sinar Mas Agro Resources and
Technology Tbk (SMART or the Company) hereby announces
the termination of SMART Shelf-Registered Bond IV (PUB IV).
With respect to the PUB IV, which had a target fund-raising
amount of Rp 6,000,000,000,000 (six trillion Rupiah), the
Company informs that during the PUB IV period, the Company
had issued PUB IV Phase I Year 2022, amounted to Rp
1,500,000,000,000 (one trillion five hundred billion Rupiah),
and the remaining unissued program balance is IDR
4,500,000,000,000 (four trillion five hundred billion Rupiah).
The shortfall in the targeted fund-raising amount was due to
market fluctuations at that time as well as adjustment to the
Company funding sources.
