2. Uraian Transaksi a. Obyek dan Nilai Transaksi
Sehubungan dengan Perjanjian Perubahan Kedua
tertanggal 23 Juni 2026 yang dibuat oleh dan antara
Perseroan dengan PT Bank KB Bukopin Tbk (“Bank
Bukopin”) yang merupakan perubahan atas Perjanjian
Pinjaman sebesar Rp. Rp 264.000.000.000 (dua ratus
enam puluh empat miliar Rupiah) (“Perjanjian Kredit”)
Maka Perseroan dan KB Bukopin melakukan perubahan
yang diantaranya adalah untuk :
I. Mengubah jumlah fasilitas pinjaman yang
sebelumnya adalah Rp. 264.000.000.000 (dua
ratus enam puluh empat miliar Rupiah) menjadi
Rp. 234.000.000.000 (dua ratus tiga puluh empat
miliah Rupiah), dikarenakan Perseroan telah
membayar fasilitas pinjaman sebesar Rp.
30.000.000.000 (tiga puluh miliar Rupiah); dan
II. Memperpanjang jatuh tempo atas Perjanjian
Fasilitas Kredit selama 1 tahun sampai dengan 24
Juni 2027.

Dokumen jaminan untuk perolehan fasilitas Perjanjian ini
adalah Corporate Guarantee dari CJ CGV Co., Ltd (“CJ
CGV”) selaku pemegang saham pengendali Perseroan
secara tidak langsung.
Tujuan dari diperolehnya fasilitas pinjaman ini adalah
untuk kepentingan pembiayaan kembali hutang pihak
berelasi ke CGI Holdings Limited.
b. Pihak-Pihak yang Melakukan Transaksi dalam Perjanjian
Kredit
i. Perseroan; dan
ii. PT Bank KB Bukopin Tbk, suatu perseroan yang
didirikan dan tunduk berdasarkan hukum Negara
Republik Indonesia. Tidak ada hubungan afiliasi
dengan Perseroan.

Detail of Transaction a. Object and Value of Transaction
In relation to Second Amendment Agreement dated June
23rd 2026, made by and between the Company and PT KB
Bank Bukopin (“Bank Bukopin”) (the “Second
Amendment”), which constitutes an amendment to the
Loan Agreement in the amount Rp. 264.000.000.000 (two
hundred sixty-four billion Rupiah) (“Loan Agreement”).
Therefore, the Company and Bank Bukopin made changes,
including among others to:
I. Changes the loan facility amount which previously
was Rp. 264.000.000.000 (two hundred sixty-four
billion Rupiah) to Rp. 234.000.000.000 (two
hundred thirty four billion Rupiah) because the
Company has paid the loan facility amounting to
Rp. 30.000.000.000 (thirty Billion Rupiah); and
II. Extended the maturity of the Loan Facility
Agreement for 1 years until 24 June 2027.
Guarantee document for obtaining facility of the
Agreement is a Corporate Guarantee provided by CJ CGV
Co., Ltd (“CJ CGV”) as the controlling shareholders of the
company indirectly.
The purpose of procuring the loan facility is to refinance
the loan related party to CGI Holdings Limited.
b. Parties Involved on the Transaction to the Loan
Agreement
i. The Company; and

ii. PT Bank KB Bukopin Tbk, a company established and
subject to laws of the Republic of Indonesia. There is
no affiliation relation with the Company.

3. Penjelasan, pertimbangan Pertimbangan dan alasan dilakukan transaksi ini untuk

4. Keterangan lain-lain a. Transaksi antara Perseroan dan Bukopin termasuk dalam
transaksi material yang dikecualikan sebagaimana
dimaksud dalam Peraturan Otoritas Jasa Keuangan No.
17/POJK.04/2020 (“POJK 17/2020”), tentang Transaksi
Material dan Perubahan Kegiatan Usaha, walaupun nilai
transaksi tersebut lebih dari 20% dari ekuitas Perseroan
berdasarkan Laporan Keuangan Audited Perseroan per 31
Desember 2025, namun fasilitas kredit ini diperoleh
Perseroan secara langsung dari bank, sehingga Perseroan
diwajibkan melaporkan selambatnya 2 (dua) hari kerja
setelah terjadinya Transaksi Material yang dikecualikan
tersebut; dan
b. Transaksi antara Perseroan dan Bukopin juga bukan
termasuk dalam transaksi afiliasi dan transaksi benturan
kepentingan sebagaimana dimaksud dalam Peraturan
Otoritas Jasa Keuangan No. 42/POJK.04/2020 (“POJK
42/2020”), tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan.

Regulation No. 17/POJK.04/2020, concerning Material
Transactions and Change of Business Activities although
the transaction value is more than 20% of the company’s
equity based on the Company’s Audited Financial
Statement as of 31 December 2025, however the loan
transaction was obtained directly by the Company from a
bank hence, the Company is still required to report no later
than 2 (two) business days after the exempted Material
Transaction occurs; and
b. The transaction between Company and Bukopin is also not
included as affiliated transaction and conflict of interest
transaction as contemplated under Financial Services
