Perseroan akan membuka kantor cabang

di Kabupaten Tuban yang akan

digunakan untuk aktivitas operasional

produksi semen instan (mortar), hal ini
sebagai salah satu bentuk upaya

Perseroan dalam meningkatkan efisiensi

produksi serta mempercepat distribusi

produk Perseroan kepada pelanggan.

Terkait hal tersebut, Perseroan telah

menandatangani Perjanjian Sewa
Menyewa Tanah dan Bangunan dengan
PT Panca Kalsiumindo Perkasa

(“Panca”) pada tanggal 24 Januari 2025,
untuk jangka waktu 3 tahun sampai
dengan akhir tahun 2027, dengan nilai
transaksi Rp150.000.000.

Pihak dalam Transaksi Afiliasi:

a. Perseroan: dan
b. Panca.

Hubungan Afiliasi dengan Perseroan:
a. Hubungan antara 2 perusahaan

dimana terdapat 1 atau lebih anggota
Direksi dan/atau Dewan Komisaris
yang sama, dan

b. Hubungan antara 2 perusahaan yang
dikendalikan, baik langsung maupun
tidak langsung oleh pihak yang sama.

Fact:

Object and Value of Transaction:

The Company will open a branch office
in Tuban Regency which will be used for
operational activity in the production of
instant cement (mortar), this is as one of
the Company's efforts to increase
production efficiency, and to accelerate
the distribution of the Company's
products to customers. In relation to this,
the Company has signed a Land and
Building — Lease Agreement — with
PT Panca  Kalsiumindo Perkasa
("Panca") on January 24, 2025, for ad
period of 3 years until the end of 2027,

with @d  transaction — value of
Rp150,000,000.
