Uraian Informasi atau Fakta Material Perseroan dan MAS memutuskan untuk melakukan Investasi dan/atau Penyertaan Modal pada MAJU melalui Persertujuan Komisaris masing-masing. Investasi tersebut merupakan salah satu prinsip strategis untuk mendukung pengembangan bisnis Perseroan dalam usaha peningkatan profitabilitas. Disamping itu Perseroan juga bermaksud untuk meningkatkan efisiensi Operasional, agar dapat mengoptimalkan proses bisnis — dengan memisahkan usaha yang berbeda dengan core bisnis Perseroan sebagai Induk, sehingga masing-masing entitas beroperasi secara lebih efisien. Bahwa setelah dilakukannya — Transaksi Penyertaan Modal, maka susunan kepemilikan saham pada MAJU, sebagai berikut: Kembangan Selatan, Kembangan, Jakarta Barat - 11610 participation in the establishment of PT Marina Andalan Jaya Utama (“MAJU”) as a subsidiary of the Company”. Description of Material Information or Facts The Company dan MAS decided to make an investment and/or Capital Participation in MAJU through the approval of each Commissioner. This investment is a key strategic principle to support the Company's business development efforts aimed at increasing profitability. In addition, the Company also intends to improve Operational efficiency to optimize business processes by separating different business activities from the Company's core business as the Parent, so that each entity can operate more efficiently. Perseroan dapat mendiversifikasi portofolio bisnisnya, yang akan mengurangi risiko ketergantungan pada satu sektor tertentu, untuk selanjutnya dapat meningkatkan stabilitas operasional perusahaan secara keseluruhan. b. Diharapkan dapat meningkatkan sumber pendapatan baru bagi Perseroan, yang akan memperkuat kondisi keuangan khususnya The impact of the event, information or material facts on the operational activities, law, financial condition or business continuity of the Issuer or Public Company a. The Company can diversify its business portfolio, which will reduce the risk ofreliance on a specific sector, thereby enhancing the overall operational stability of the company. b. Keterangan Lain-lain
Pendirian Perseroan dilakukan pada tanggal 03
Januari 2025, namun sesuai (i) informasi dari
Notaris, (ii) informasi resmi dari Direktorat
Jenderal Administarsi Hukum Umum (“Ditjen
AHU”) serta (ii) kendala yang dialami langsung
oleh Tim Notaris, bahwa sistem Ditjen AHU
mengalami gangguan/error/tidak dapat
menerbitkan SK Pengesahan Pendirian sejak 31
Desember 2024 hingga 09 Januari 2025 pukul
16.00 WIB. Sehingga atas kendala tersebut SK
Pengesahan Pendirian baru dapat terbit pada 09
Januari 2025 setelah pukul 16.00WIB. Disamping
itu, hingga diterbitkannya Keterbukaan Informasi
ini, penerbitan NIB dan NPWP juga belum dapat
dilakukan karena gangguan sistem.

Remarks
The establishment of the Company took place on
January 3, 2025. However, according to (i)
information from the Notary, (ii) official
information from the Directorate General of
General Legal Administration ("Ditjen AHU"), and
(iii) issues directly experienced by the Notary
Team, the Ditjen AHU system encountered
disruptions/errors and was unable to issue the
Decree of Establishment Approval from
December 31, 2024, to January 9, 2025, until
4:00 PM WIB. Therefore, due to this issue, the
Decree of Establishment Approval could only be
issued on January 9, 2025, after 4:00 PM WIB. In
addition, until the issuance of this Disclosure, the
issuance of the NIB (Business Identification
Number) and NPWP (Taxpayer Identification
Number) cannot be carried out due to a system
disruption.
