                                           Secara kegiatan operasional: akan memiliki kekuatan modal
                                           untuk melakukan percepatan dan pertumbuhan usaha
                                           khususnya di sektor pariwisata inbound dan jasa travel &
                                           leisure (outbound)

                                           Secara hukum: tidak memiliki dampak hukum karena dividen
                                           dilaksanakan sesuai aturan yang berlaku

                                           Secara kondisi keuangan: akan meningkatkan saldo Kas dan
                                           Setara Kas Perseroan dan penurunan rasio Debt to Equity
                                           (DER) Perseroan, karena tidak ada lagi kewajiban
                                           pembayaran pokok dan bunga pinjaman yang menjadi beban
                                           Perseroan. Dengan demikian akan mampu mendukung
                                           percepatan pertumbuhan Perseroan di tahun-tahun yang akan
                                           datang.

                                           Secara kelangsungan usaha: akan meningkatkan
                                           kelangsungan usaha dan fokus usaha di tahun-tahun
                                           kedepan.

                                              Revenue from Extraordinary Dividend
 Type of Material Information or Facts

 Description of Material Information or       PT Panorama Ventura Indonesia (PVI), a subsidiary of the
 Facts                                        Company in which the Company holds 99.99% (ninety-nine
                                              point ninety-nine percent) of the shares, has approved the
                                              distribution of an interim dividend from PVI's retained earnings
                                              for the fiscal year ending December 31, 2024, amounting to Rp
                                              400,000,000,000 (four hundred billion rupiah). This approval
                                              was based on the Decision of the Board of Directors with the
                                              consent of the Board of Commissioners of PVI dated January
                                              7, 2025.

                                              From the implementation of PVIs interim dividend distribution,
                                              the Company received funds amounting to Rp
                                              399,993,333,333 (three hundred ninety-nine billion nine
                                              hundred ninety-three million three hundred thirty-three
                                              thousand three hundred thirty-three rupiah).

                                              A portion of these funds will be allocated to repay the
                                              Company bank loan with BNI amounting to Rp
                                              324,349,680,494 (three hundred twenty-four billion three
                                              hundred forty-nine million six hundred eighty thousand four
                                              hundred ninety-four rupiah) on January 10, 2025

                                              inbound tourism sector and travel & leisure (outbound)
                                              services.

                                              Legal Impact: There is no legal impact as the dividend
                                              distribution is conducted in compliance with applicable
                                              regulations.

                                              Financial Condition: It will increase the Company Cash and
                                              Cash Equivalents balance and reduce the Company Debt to
                                              Equity Ratio (DER), as there will no longer be any principal
                                              and interest payment obligations burdening the Company.
                                              This, in turn, will support the Company accelerated growth in
                                              the coming years.

                                              Business Continuity: The dividend will enhance the Company
                                              business continuity and enable a stronger focus on its core
                                              business in the coming years.
