Tanggal kejadian 07 Januari 2025 date of occurrence January 07, 2025 2. Jenis Informasi atau Fakta Material Telah terjadi peningkatan modal disetor dan ditempatkan pada Types of Material Information or Facts Entitas Anak Perseroan, yaitu PT Tanjung Pinang Indah (“PT TPI”) melalui konversi utang menjadi modal sebesar 1.532.756.320 (satu miliar lima ratus tiga puluh dua juta tujuh ratus lima puluh enam ribu tiga ratus dua puluh) atau seluruhnya sebesar Rp153.275.632.000,00 (seratus lima puluh tiga miliar dua ratus tujuh puluh lima juta enam ratus tiga puluh dua ribu Rupiah) berdasarkan Akta Konversi Utang Menjadi Saham antara Perseroan dengan PT TPI No. 01 Tanggal 07 Januari 2025. PROPERTY GROUP hundred fifty-six thousand three hundred twenty) or a total of Rp153,275,632,000.00 (one hundred fifty-three billion two hundred seventy-five million six hundred thirty-two thousand Rupiah) based on the Deed of Conversion of Debt into Shares between the Company and PT TPI No. 01 Dated January 07, 2025. Sehingga susunan Pemegang Saham dan komposisi kepemilikan saham dalam PT TPI menjadi sebagai berikut: PT Bliss Properti Indonesia, Tbk sebanyak 2.004.556.319 (dua miliar empat juta lima ratus lima puluh enam ribu tiga ratus sembilan belas) saham, dengan nilai nominal seluruhnya sebesar Rp200.455.631.900,00 (dua ratus miliar empat ratus lima puluh lima juta enam ratus tiga puluh satu ribu sembilan ratus ribu Rupiah) persentase kepemilikan sebesar 99,992: PT Bintang Baja Hitam sebanyak 1 (satu) saham dengan nilai nominal seluruhnya sebesar Rp100,00 (seratus Rupiah), persentase kepemilikan sebesar 0,0000242. Therefore, the composition of Shareholders and the composition of share ownership in PT TPI is as follows: - PT Bliss Properti Indonesia, Tbk as many as 2,004,556,319 (two billion four million five hundred fifty six thousand three hundred nineteen) shares, with an aggregate nominal value of Rp200,455,631,900.00 (two hundred billion four hundred fifty five million six hundred thirty one thousand nine hundred thousand Rupiah) ownership percentage of 99.9946: PT Bintang Baja Hitam as much as 1 (one) share with a total nominal value of Rp100.00 (one hundred Rupiah), ownership percentage of 0.00002Y2. Sifat hubungan afiliasi the affiliate relationship Bahwa hubungan antara Perseroan dengan PT TPI ialah, Perseroan merupakan Pemegang Saham dari PT TPI sebesar 99,9 (sembilan puluh sembilan koma sembilan persen) dari modal ditempatkan dan disetor PT TPI. Sehingga transaksi tersebut merupakan Transaksi Afiliasi dan bukan merupakan Transaksi Benturan Kepentingan. Whereas the relationship between the Company and PT TPI is that Shareholder of PT TPI amounting to 99.945 (ninety nine point nine percent) of the issued and paid-up capital of PT TPI. Oa an PROPERTY GROUP / BLISS Sehingga transaksi tersebut dikecualikan dari ketentuan Pasal 6 ayat (1) huruf a dan huruf da POJK 17/2020 dan dan dikecualikan dari kewajiban yang diatur dalam Pasal 3, Pasal 4 ayat (1) dan Pasal 11 ayat (1) POJK 42/2020. Namun, Perseroan tetap wajib melaporkan Transaksi tersebut kepada Otoritas Jasa Keuangan (“OJK”). So that the transaction is exempted from the provisions of Article 6 paragraph (1) letter a and letter da POJK 17/2020 and and exempted from the obligations stipulated in Article 3, Article 4 paragraph (1) and Article 11 paragraph (1) POJK 42/2020. However, the Company is Still reguired to report the Transaction to the Financial Services Authority (“OJK). Direksi berkeyakinan bahwa Transaksi yang dilakukan tidak mengandung unsur benturan kepentingan. The Board of Directors believes that the Transaction carried out does not contain elements of conflict of interest. 4. Dampak atas transaksi Perusahaan Terbuka. Impact on Public Listed ' Company transactions Transaksi tersebut tidak berdampak terhadap Perusahaan Terbuka. The transaction has no impact on the Public Company.
