A Uraian Transaksi Pada tanggal 7 Januari 2025, Perseroan dan SMS telah menandatangani Adendum IX Perjanjian Pinjam Uang (“Adendum IX Perjanjian Pinjam Uang”). Berdasarkan Adendum IX Perjanjian Pinjam Uang, Para Pihak telah setuju untuk mengubah jangka waktu pinjaman yang akan berlangsung selama 3 (tiga) tahun, terhitung sejak 8 Januari 2025 sampai dengan 7 Januari 2028. Re: The Disclosure of Information by PT Kedoya Adyaraya Tbk (“Company”) in accordance with Financial Services Authority Regulation No, 42/POJK.04/2020 concerning Affiliated Transactions and Conflict of Interest Transactions (“POJK 42/2020”) Dear Sir, In accordance with the provisions stipulated in POJK 42/2020, the Company hereby submits a disclosure of information regarding an a@ffiliated transaction carried out by and between the Company and PT Sinar Medika Sejahtera (“SMS”), a direct subsidiary of the Company. A. Description of the Transaction On 7 January 2025, the Company and SMS have signed the Addendum IX of Loan Agreement (“Addendum IX of Loan Agreement”). Pursuant to the Addendum IX of Loan Agreement, the Parties have agreed to change the lease term which will last for 3 (three) year effective from 8 January 2025 until 7 January 2028. t

Jeruk, Jakarta Barat 11520 P :150789 W : www.grhakedoya.com Mfiliasi antara Para Pihak Perseroan merupakan pemegang saham pengendali SMS dengan persentase kepemilikan saham sebesar 99,535 dari seluruh modal ditempatkan dan disetor SMS. Perseroan dan SMS memiliki hubungan Afiliasi sebagaimana dimaksud dalam POJK 42/2020. Oleh karena itu, transaksi yang dilakukan oleh dan antara Perseroan dan SMS berdasarkan Adendum IX Perjanjian Pinjam Uang merupakan Transaksi Mfiliasi yang diatur dalam POJK 42/2020 (“Transaksi Afiliasi”). Penjelasan, Pertimbangan, dan Alasan Dilakukannya Transaksi Afiliasi serta Pengaruhnya terhadap Kondisi Keuangan Perseroan Transaksi Afiliasi dilakukan oleh dan antara Perseroan dan SMS untuk mendukung SMS untuk keperluan investasi, pembiayaan usaha dan modal kerja. Melalui Transaksi Afiliasi ini Para Pihak percaya bahwa SMS dapat memaksimalkan kinerja usahanya sehingga dapat memberikan nilai tambah yang lebih untuk SMS, Perseroan dan entitas anak. Pernyataan Dewan Komisaris dan Direksi Perseroan Direksi dan Dewan Komisaris Perseroan dengan ini menyatakan bahwa sepanjang pengetahuan dan keyakinan Direksi dan Dewan Komisaris Perseroan, seluruh informasi material sehubungan dengan Transaksi Afiliasi telah diungkapkan dalam Keterbukaan Informasi dan informasi tersebut tidak menyesatkan. Informasi Tambahan Transaksi antara Perseroan dan SMS berdasarkan Adendum IX Perjanjian Pinjam — Uang termasuk dalam definisi transaksi afiliasi dan tidak mengandung benturan kepentingan berdasarkan POJK 42/2020, dan merupakan transaksi afiliasi yang dikecualikan sebagaimana dimaksud dalam Pasal 6 ayat (1) b.1 POJK 42/2020. B. Affiliation between the Parties The Company is the controlling shareholder of SMS with a share ownership percentage of 99.534 of the entire issued and paid-up capital of SMS. The Company and SMS have an Affiliate relationship as defined in POJK 42/2020. Therefore, the transaction carried out by and between the Company and SMS based on the Addendum IX of Loan Agreement is an Affiliated Transaction as regulated in POJK 42/2020 (“Affiliated Transaction”). C. Explanation, Considerations and Reasons for Conducting the Affiliated Transaction and the Impact on the Company's Financial Condition The Affiliated Transaction was carried out by and between the Company and SMS to support SMS for investment, business financing and working capital purposes. Through this Affiliated Transaction, the Parties convinced that SMS can maximize its business performance so that it can provide even more added value for SMS, the Company and its subsidiaries. D. Statement of the Company's Board of Commissioners and Board of Directors The Company's Board of Directors and Board of Commissioners hereby declare that to the bestof the knowledge and belief of the Company's Board of Directors and Board of Commissioners, all material information relating to the Affiliated Transaction has been disclosed in this Disclosure of Information and there is no misleading information. E. Additional Information The transaction between the Company and SMS based on the Addendum IX of Loan Agreement is considered as affiliated transaction and do not contain conflict of interest based on POJK 42/2020, and is an exempt affiliate transaction as defined in Article 6 paragraph (1) b.1 POJK 42/2020. t
