3. Uraian Informasi atau Fakta Material Pada tanggal 7 Januari 2025 Perseroan telah mengetahui dan
Material Information or Fact menyetujui Perjanjian Merek Dagang dan Lisensi (“TM
Description Agreement”) dengan Perusahaan Afiliasinya yaitu Bata Brand
S.A. yang akan menghapuskan utang Perseroan pada tahun 2022
sebesar USD 1.885.067,47, tahun 2023 sebesar USD
1.741.249,10 dan tahun 2024 sebesar USD 1.237.190.
Tujuan penghapusan utang adalah untuk membantu kinerja
keuangan Perseroan.
On January 7, 2025, the Company acknowledge and agreed a
Trademark and Know-How License Agreement ("TM
Agreement") with its Affiliate Company, namely Bata Brand S.A.
which will write off the Company's debt in 2022 amounting to
USD 1,885,067.47, in 2023 amounting to USD 1,741,249.10 and
in 2024 amounting to USD 1,237,190.
The aim of write-off debt is to help the Company's financial
performance.
4. Dampak kejadian, informasi atau Pelaksanaan transaksi ini akan memberikan kontribusi positif
fakta material tersebut terhadap kepada kegiatan operasional, kondisi keuangan atau
kegiatan operasional, hukum, kondisi kelangsungan usaha Perseroan secara umum. Secara jangka
keuangan, atau kelangsungan usaha panjang, penandatangan perjanjian ini akan memperkuat posisi
Emiten atau Perusahaan Publik keuangan Perseroan.
