atau Fakta Material oleh Emiten atau Perusahaan Publik (“POJK No. 31”) dan Surat
Keputusan Direksi BEI No. Kep-00066/BEI/09-2022 tanggal 30 September 2022 tentang
Peraturan Nomor I-E tentang Kewajiban Penyampaian Informasi (“Peraturan BEI I-E”),
bersama ini kami sampaikan informasi material sebagai berikut: / Referring to the OJK

3. Uraian Informasi atau Fakta Pada tanggal 30 Oktober 2024, Perseroan
Material / Description of Material menyampaikan Keterbukaan Informasi terkait
Information or Facts rencana penghentian kegiatan dan penutupan
sejumlah lini usaha dan/atau anak Perusahaan
(“Rencana Aksi Korporasi”).
Sebagai tindak lanjut dari Rencana Aksi Korporasi
tersebut, kami terus melakukan peninjauan
kembali terhadap prospek sejumlah segmen
usaha Perseroan. Setelah melalui pertimbangan
dengan penuh kehati-hatian, kami memutuskan
untuk menghentikan layanan penjualan produk
fisik di aplikasi dan situs web Bukalapak milik
Perseroan (“Aplikasi dan Situs Web
Bukalapak”). Proses Penghentian Layanan
Produk Fisik akan dilakukan secara bertahap dan
akan dimulai pada Februari 2025. Perubahan ini
adalah langkah yang diperlukan untuk fokus pada
lini bisnis yang telah kami kembangkan dan yang
memiliki pertumbuhan yang lebih besar.
Meskipun kami telah melakukan berbagai upaya
terbaik namun lini bisnis produk fisik pada
Aplikasi dan Situs Web Bukalapak terus
menunjukkan penurunan kontribusi pendapatan
dan pertumbuhan selama tiga tahun terakhir yang
diakibatkan oleh perubahan dinamika pasar dan
tantangan industri. Di lain sisi, biaya operasional
untuk lini bisnis tersebut terus menunjukkan
peningkatan yang signifikan.
Aplikasi dan Situs Web Bukalapak, maupun
aplikasi dan situs web Marketplace lainnya yang
dimiliki Perseroan serta Mitra Bukalapak akan
tetap beroperasi dan dapat diakses oleh para
pengguna dan konsumen untuk layanan lainnya
yang telah ada sebelumnya, antara lain produk
virtual, gaming dan investasi.
Sebagaimana yang telah disampaikan pada
Keterbukaan Informasi terkait Rencana Aksi
Korporasi, Penghentian Layanan Produk Fisik
akan berdampak kepada sejumlah karyawan di
seluruh ekosistem usaha Perseroan. Dalam
pelaksanaannya Perseroan akan memastikan
pemenuhan seluruh hak dan kompensasi para
karyawan yang terdampak sesuai dengan
ketentuan dan peraturan perundang-undangan
yang berlaku.
Manajemen Perseroan percaya bahwa dengan
berfokus pada layanan produk virtual serta lini
bisnis yang telah dikembangkan selama beberapa
tahun terakhir, Perseroan dapat memperkuat
posisinya dalam ekosistem digital serta

memberikan layanan terbaik kepada pengguna. Langkah ini adalah bagian dari strategi jangka panjang Perseroan untuk terus relevan dan kompetitif di industri agar dapat menciptakan nilai bagi para pemangku kepentingan Perseroan, terutama pemegang saham Perseroan. / On 30 October 2024, the Company published a Disclosure of Information regarding plan for the discontinuation and dismissal of certain line of business and/or subsidiaries (“Corporate Action Plan”). As part of our ongoing implementation of the Corporate Action Plan, we continue to re- evaluate the business prospects of several segments within the Company. After careful consideration, we have decided to terminate the sales service for physical products on Bukalapak’s application and website owned by the Company (“Bukalapak’s Application and Website”). The Termination of Services for Physical Products will be carried out in phases, beginning in February 2025. This change is necessary to refocus our efforts on the business lines that we have developed and demonstrate greater growth potential. Despite our best efforts, the physical product business line on Bukalapak’s Application and Website has continued to show a decline in revenue contribution and growth over the past three years, due to changing market dynamics and industry challenges. Meanwhile, the operational costs for this business line have significantly increased. Bukalapak’s Application and Website, along with other Marketplace applications and websites owned by the Company as well as Mitra Bukalapak, will remain operational and accessible to users and consumers for other existing services, including virtual products, gaming and investment. As outlined in the Disclosure of Information on Corporate Action Plan, the Termination of Physical Product Services will affect a number of employees across the Company’s business ecosystem. The Company will ensure that all affected employees rights and compensation are met in accordance with applicable laws and regulations.

The Company’s management believes that by
focusing on virtual products and the business
lines developed over the past few years, it can
strengthen its position in the digital ecosystem
and provide the best services to users. This step is
a part of the Company’s long term strategy to
remain relevant and competitive in the industry,
creating value for stakeholders, particularly its
shareholders.
4. Dampak kejadian, informasi, atau Penghentian Layanan Produk Fisik tidak memiliki
fakta material tersebut terhadap dampak yang merugikan terhadap kelangsungan
kegiatan operasional, hukum, usaha Perseroan. Layanan produk fisik pada
kondisi keuangan, atau Aplikasi dan Situs Web Bukalapak memiliki
kelangsungan usaha Emiten atau kontribusi sekitar 3% (tiga persen) dari seluruh
Perusahaan Publik / Impact of pendapatan Perseroan. Sebaliknya, Penghentian

merupakan bagian dari langkah
berkesinambungan yang terus menerus dilakukan
oleh Perseroan untuk memastikan bahwa seluruh
unit bisnis di dalam grup Perseroan fokus pada
tujuan Perseroan untuk membangun perusahaan
yang dapat menciptakan nilai di masa depan serta
manfaat terbaik kepada para pemangku
kepentingan.
The Termination of Physical Product Services
will not have an adverse impact on the
Company’s business continuity. Physical
products services on Bukalapak’s Application
and Website contribute around 3% (three
percent) of the Company’s total revenue. On the
contrary, this termination supports the
Company’s efforts to achieve a positive EBITDA.
The Company expects this move to have a positive
impact on operational conditions and financial
performance in the future, as it will enable
significant operational cost efficiencies.
The termination of Physical Product Services and
the shift in product focus on Bukalapak’s

Application and Website do not alter the business
activities outlined in the Company’s Articles of
Association.
This decision is also part of the ongoing efforts by
the Company to ensure that all business units
within the group remain focused on the
Company’s purpose of building a business that
creates long-term value and delivers the best
benefits to its stakeholders.
