       Pada tanggal 6 Januari 2025, PT HABCO TRANS MARITIMA TBK (“Perseroan”) telah
       menandatangani Perjanjian Usaha Patungan dengan SEACON CREW MANAGEMENT CO.,
       LIMITED, sebuah Perusahaan yang didirikan berdasarkan hukum Hong Kong, yang beralamat
       di Unit No. 3513, 35/F, The Center, 99 Queen's Road Central, Hong Kong, sehubungan
       dengan pendirian Perusahaan Patungan dengan nama PT HABCO SEGARA CREWING, yang
       didirikan berdasarkan hukum Indonesia.

          Hubungan antara Pihak: Tidak ada hubungan afiliasi.

          Para Pihak sepakat membentuk perusahaan patungan dengan komposisi modal sebagai
          berikut:

          Modal Disetor dan Ditempatkan sebesar Rp. 10.000.000.000,- (Sepuluh Miliar Rupiah) yang
          terbagi ke dalam 10.000 (Sepuluh Ribu) lembar saham, dengan komposisi kepemilikan
          saham sebagai berikut:
          1. PT HABCO TRANS MARITIMA TBK : 5.100 lembar saham atau Rp. 5.100.000.000,- (Lima
              Miliar Seratus Juta Rupiah), atau 51%.

        2. SEACON CREW MANAGEMENT CO., LIMITED : 4.900 lembar saham atau Rp.
           4.900.000.000,- (Empat Miliar Sembilan Ratus Juta Rupiah), atau 49%.

        Tujuan Transaksi: Menyediakan layanan rekrutmen, penempatan dan manajemen kru untuk
        kapal-kapal berbendera Indonesia dan asing.

    4. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional,
       hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik:
       Tidak ada dampak material terhadap kegiatan operasional usaha, dampak hukum atau
       terhadap kelangsungan usaha Perseroan.

     3. Description of Material Information or Facts :
        On January 6th, 2025 PT HABCO TRANS MARITIMA TBK (the “Company”) has entered into a
        Joint Venture Agreement with SEACON CREW MANAGEMENT CO., LIMITED, a Company
        incorporated under the laws of Hong Kong, with registered address Unit No. 3513, 35/F, The
        Center, 99 Queen's Road Central, Hong Kong, in connection with the establishment of a Joint
        Venture Company by the name of PT HABCO SEGARA CREWING, a limited liability company
        established under the laws of Indonesia.

         Relationship between Parties: No affiliate relationship

         The Parties agree to form a joint venture company with the following capital composition:

         Issued and paid-up share capital is Rp. 10,000,000,000,- (Ten Billion Rupiah) devided into
         10,000 (Ten Thousand) ordinary shares, with composition as follows:
         1. PT HABCO TRANS MARITIMA TBK : 5,100 shares or Rp. 5,100,000,000,- (Five Billion One
             Hundred Million Rupiah), or 51%.

        2. SEACON CREW MANAGEMENT CO., LIMITED : 4,900 shares or Rp. 4,900,000,000,- (Four
           Billion Nine Hundred Million Rupiah), or 49%.

        Objective of Transaction: To provide recruitment, placement and mangement services for
        Indonesian and foreign flagged ships crew.

    4. Impact of event, material information or facts towards the Company’s operational
       activities, legal, financial condition, or going concern:
       There is no material impact on business operations, legal or business continuity of the
       Company.
