MRI is the surviving entity of the Merger.

Bahwa pada tanggal O1 Januari 2025 telah berlaku efektif
Penggabungan antara 2 (dua) Perusahaan yang dikendalikan
oleh Perseroan yaitu PT Molindo Inti Gas (“MIG”) ke dalam PT
Molindo Raya Industrial (“MRI”).
That on January 1, 2025, the merger between two (2)
companies controlled by the Corporation, namely PT Molindo
Inti Gas ("MIG") into PT Molindo Raya Industrial ("MRI"),
became effective.

Setelah Penggabungan After the Merger " PT MMI Tbk 95.202 | 141 | : PT MRI Latar Belakang dan Tujuan Penggabungan/Background and Purpose of Merger Penggabungan PT MRI dan PT MIG didasari oleh tujuan untuk melakukan efisiensi kelompok usaha, dimana PT MIG sepenuhnya dimiliki oleh PT MRI. Penggabungan kedua Perusahaan akan menyederhanakan dan mengkonsolidasikan struktur kepemilikan aset menjadi satu badan hukum di bawah kendali yang sama. The merger of PT MRI and PT MIG is based on the objective of achieving business group efficiency, where PT MIG is wholly owned by PT MRI. The merger of the two companies will simplify and consolidate the ownership structure of assets into a single legal entity under the same control. Direksi dan Komisaris MIG dan MRI memandang perlu untuk melakukan Penggabungan kedua Perusahaan, sehingga akan menyederhanakan dan mengkonsolidasikan struktur kepemilikan aset menjadi satu badan hukum di bawah kendali yang sama. The respective Boards of Directors and Boards of Commissioners of the MIG and MRI consider it necessary to merge the two companies. This merger is intended to simplify and consolidate asset ownership structures into a single legal entity under unified control. Sesuai dengan Rancangan Penggabungan yang telah disetujui oleh masing-masing Dewan Komisaris MIG dan Dewan Komisaris MRI, sebagaimana termaktub dalam Surat /

Persetujuan Dewan Komisaris Perseroan MIG tertanggal 11 Oktober 2024 dan Surat Persetujuan Dewan Komisaris MRI tertanggal 11 Oktober 2024, dibuat di bawah tangan, yang ringkasannya telah diumumkan dengan iklan dalam surat kabar harian, yaitu surat kabar Harian Terbit pada tanggal 30 Oktober 2024. Pursuant to the Merger Plan approved by the respective Boards of Commissioners of MIG and MRI, as outlined in the respective companies Boards of Commissioners Approval Letter dated October 11, 2024, executed under private deed, and summarized in a public announcement published in the “Harian Terbit' daily newspaper on October 30, 2024. Dalam Penggabungan tersebut, PT Molindo Inti Gas akan bergabung ke dalam Perseroan, dimana semua aktiva dan pasiva, aktivitas, kegiatan usaha, operasi usaha, tagihan dan karyawan-karyawan PT Molindo Inti Gas sepanjang dimungkinkan oleh peraturan perundangan-undangan yang berlaku serta praktek hukum yang berlaku di Indonesia beralih kepada PT Molindo Raya Industrial, dan, PT Molindo Inti Gas akan berakhir karena hukum, tanpa dilakukan likuidasi terlebih dahulu. Under this merger, PT Molindo Inti Gas will merge into the Company. As a@ result, all assets and liabilities, business activities, operations, receivables, and employees of PT Molindo Inti Gas, to the extent permitted by prevailing laws and regulations as well as applicable legal practices in Indonesia, will be transferred to PT Molindo Raya Industrial. Subseguently, PT Molindo Inti Gas will cease to exist by operation of law without undergoing prior liguidation. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik / The impact of the material event, information, or fact on the operational activities, law, financial condition, or business continuity of the Issuer or Public Company Informasi atau fakta material yang diungkapkan tidak memiliki dampak material terhadap kegiatan operasional, hukum, kondisi dan kinerja keuangan, atau kelangsungan usaha Perseroan. The information or material facts disclosed do not have a material impact on the operational activities, legal, financial condition and performance, or business continuity of the Company. Keterangan lain-lain / Miscellaneous Rapat Umum Pemegang Saham Luar Biasa (RUPSLB) MRI dan RUPSLB MIG telah dilaksanakan pada tanggal 16 Desember 2024. Dalam masing-masing Rapat tersebut telah disetujui 4 /

Rencana Penggabungan Usaha PT Molindo Inti Gas ke dalam PT Molindo Raya Industrial efektif pada 1 Januari 2025 yang surat pemberitahuan perubahan nya telah diterima oleh Kementrian Hukum RI No AHU-AH.01.09-0290847 tanggal 19 Desember 2024. The Extraordinary General Meeting of Shareholders (EGMS) of MRI and the EGMS of MIG were held respectively on December 16, 2024. During the respective meetings, the Merger Plan of PT Molindo Inti Gas into PT Molindo Raya Industrial was approved, effective as of January 1, 2025, with the notification of changes acknowledged by the Ministry of Law under No. AHU-AH.01.09-0290847 dated December 19, 2024.
